Approved Investment Bank definition

Approved Investment Bank means an investment bank listed on Appendix E, or such other investment bank as the Required Limited Partners may approve from time to time.

Approved Investment Bank means any of the following investment banks, including affiliates and successors thereof: Bank of America Corp, UBS, Xxxxxxx Xxxxx and Co., Xxxxxx Xxxxxxx Incorporated, X.X. Xxxxxx, Credit Suisse, CITIGROUP, Deutsche Bank and any other internationally recognised investment bank as agreed between the TPG Investor Entities (as a group), the KKR Investor and REA (each acting reasonably);

Approved Investment Bank means Goldman Sachs Bank USA, JPMorgan Chase Bank, USA or such other bank as may be mutually agreed by Remainco and RMT Partner.

Examples of Approved Investment Bank in a sentence

• All determinations of the Approved Investment Bank or the Auditors pursuant to or in purported pursuance of these Conditions shall be deemed to be made by them or it as an expert and all such determinations shall be final, conclusive and binding on the Company, all Bondholders and all persons claiming through or under them, except in the case of manifest or gross mistakes.

• If any doubt shall arise as to the appropriate adjustment to the Conversion Price, a certificate of the Approved Investment Bank or the Auditors shall be conclusive and binding on all concerned save in the case of manifest or gross mistakes.

• Every adjustment to the Subscription Price shall be certified to be fair and appropriate by the auditors of the Company or an Approved Investment Bank and notice of each adjustment (giving the relevant particulars) shall be given to the Warrantholders.

• Where any of the provisions of these Conditions permits or requires a determination by an Approved Investment Bank or the Auditors, the Company shall have the right to select either a investment bank of international repute (being the “Approved Investment Bank”) or the Auditors to make the determination provided that any appointment of an Approved Investment Bank by the Company for the purpose of this Condition 6 shall first be approved by the Bondholders.

• The Trustee, the Calculation Agent, the Paying, Transfer and Exchange Agents and the Issuer may rely absolutely, without further enquiry, on any determinations made by any Approved Investment Bank.
