Approved Borrower Portal has the meaning assigned to it in subsection 9.12.

Approved Borrower Portal has the meaning given to such term in Section 8.08.

• Each such notice shall specify (i) the date and amount of such prepayment, (ii) the Type(s) of Loans to be prepaid, (iii) if Term Benchmark Loans are to be prepaid, the Interest Period(s) of such Loans and (iv) if such notice is submitted through an Approved Borrower Portal, any related signature requirement may be waived at the sole discretion of the Administrative Agent.

• Each of the Lenders and the Borrower hereby approves distribution of Borrower Communications through the Approved Borrower Portal and understands and assumes the risks of such distribution.

• The Administrative Agent and the Lenders agree that the Borrowers may, but shall not be obligated to, make any Borrower Communications to the Administrative Agent through an Approved Borrower Portal.

• Each of the Lenders, each of the LC Issuers and the Borrower hereby approves distribution of Borrower Communications through the Approved Borrower Portal and understands and assumes the risks of such distribution.

• Such Letter of Credit Application may be sent by facsimile, by United States mail, by overnight courier, by electronic transmission using the system provided by the applicable L/C Issuer (including an Approved Borrower Portal), by personal delivery or by any other means acceptable to such L/C Issuer.

Approved Borrower Portal means any electronic platform chosen by the Administrative Agent to be its electronic transmission system.
