Agent/Arranger Fee Letter means the letter agreement, dated February 1, 2012, among the Company, the Administrative Agent and MLPFS.

Agent/Arranger Fee Letter has the meaning specified in Section 2.08(b).
On the Conditions Effective Date, the Borrower shall pay to the Administrative Agent, for the account of the Lenders in accordance with their respective Pro Rata Shares, an upfront fee in the agreed amount in accordance with the Agent/Arranger Fee Letter.
