Xxxx-Xxxxx-Xxxxxx Act. The waiting period (and any extension thereof) applicable to the consummation of the transactions contemplated hereby under the HSR Act shall have expired or been terminated.
Xxxx-Xxxxx-Xxxxxx Act. If applicable, all filings required pursuant to the Xxxx-Xxxxx-Xxxxxx Act shall have been made, and any approvals required thereunder shall have been obtained, or the waiting period required thereby shall have expired or have been terminated, as the case may be.
Xxxx-Xxxxx-Xxxxxx Act. Filing under the Xxxx-Xxxxx-Xxxxxx Antitrust Improvements Act of 1976 (the “HSR Act”) may be required. If filing or notice or other action is required under the HSR Act with respect to the transactions outlined herein, then Buyer shall effect such filing or notice and Buyer and Seller shall each pay for 50% of the filing fees required by the HSR Act . Buyer and Seller shall each be responsible for their own attorney fees incurred to effect such filing. Seller shall cooperate fully with Buyer in said action and promptly provide all requisite information.
Xxxx-Xxxxx-Xxxxxx Act. Each of the Parties will file any Notification and Report Forms and related material that it may be required to file with the Federal Trade Commission and the Antitrust Division of the United States Department of Justice under the Xxxx‑-Xxxxx-‑Xxxxxx Act, will use its reasonable efforts to obtain an early termination of the applicable waiting period, and will make any further filings pursuant thereto that may be necessary, proper, or advisable;
Xxxx-Xxxxx-Xxxxxx Act. The waiting period (and any extension thereof) applicable to the consummation of the Merger under the HSR Act shall have expired or been terminated.
Xxxx-Xxxxx-Xxxxxx Act. Licensee may terminate this Agreement, effective immediately, if the Parties do not receive approval of their filing under the HSR Act with respect to this Agreement by 60 days after the Effective Date.
Xxxx-Xxxxx-Xxxxxx Act. If a filing is required in connection with the consummation of the transactions contemplated by this Agreement under the HSR Act, the waiting period applicable to the consummation of the transactions contemplated by this Agreement under the HSR Act shall have expired or been terminated.
Xxxx-Xxxxx-Xxxxxx Act. If filing under the Xxxx-Xxxxx-Xxxxxx Antitrust Improvements Act of 1976 (the “HSR Act”) is required, then LMP and Contributor shall promptly complete their respective filings and notices and LMP and Contributor shall share pay their respective professional fees and each shall pay one-half of the filing fee.
Xxxx-Xxxxx-Xxxxxx Act. All applicable waiting periods (and any --------------------- extensions thereof) under the Xxxx-Xxxxx-Xxxxxx Act shall have expired or otherwise been terminated.
Xxxx-Xxxxx-Xxxxxx Act. Each Holder agrees not to convert any New Notes unless any waiting period under the Xxxx-Xxxxx-Xxxxxx Antitrust Improvements Act of 1976, as amended, applicable to such conversion shall have expired or been terminated. The Company agrees to use commercially reasonable efforts to assist each Holder in causing any such waiting period to expire or terminate.
