Terms of Employment and Duties. The Company agrees to employ you as its Executive Vice President and Chief Financial Officer for a period (the “Term”) of four years from January 14, 2003 (the “Start Date”), unless your employment is sooner terminated by you or the Company. You will devote your full business time and attention to your duties as Executive Vice President and Chief Financial Officer. You will report directly to the Chief Executive Officer and will comply with all reasonable instructions of the Chief Executive Officer.
