Substitutions for Contract Retentions. In accordance with California Public Contract Code Section 22300, the District will permit the substitution of securities for any monies withheld by the District to ensure performance under the Contract. At the request and expense of Contractor, securities equivalent to the amount withheld shall be deposited with the District, or with a state or federally chartered bank in California as the escrow agent, and thereafter the District shall then pay such monies to Contractor as they come due. Upon satisfactory completion of the Contract, the securities shall be returned to Contractor. For purposes of this Section and Section 22300 of the Public Contract Code, the term “satisfactory completion of the contract” shall mean the time the District has issued written final acceptance of the Work and filed a Notice of Completion as required by law and provisions of this Contract. Contractor shall be the beneficial owner of any securities substituted for monies withheld and shall receive any interest thereon. The escrow agreement used for the purposes of this Section shall be in the form provided by the District.

Deposit of securities with an escrow agent shall be subject to a written agreement between the escrow agent and the Town, which provides that no portion of the securities shall be paid to Contractor until the Town has certified to the escrow agent, in writing, that the Contract has been satisfactorily completed. The Town shall certify that the Contract has been satisfactorily completed within sixty (60) days of work "completion" as defined in Section 7107(c) of the California Public Contract Code. Securities eligible for investment under this section shall be limited to those listed in Section 16430 of the Government Code, bank or savings & loan certificates of deposit, interest-bearing demand deposit accounts, stand-by letters of credit, or any other security mutually agreed to by Contractor.

Upon satisfactory completion of the Agreement, the securities shall be returned to FCC. For purposes of this Section and Section 22300 of the Public Contract Code, the termsatisfactory completion of the contract” shall mean the time the WPWMA has issued written final acceptance of the Work and filed a Notice of Completion as required by law and provisions of this Agreement.
