Service on Board of Directors. Executive agrees to serve, if requested, on the Board of Directors, or any committees, of the Bank during the term of this Agreement.
Service on Board of Directors. Employee shall, subject to earlier removal by the shareholders, serve on the Board of Directors of Employer and Sonus Communication Holdings, Inc. until the third anniversary of this Agreement, without additional compensation except for reimbursement of reasonable expenses associated with such service. Removal from the Board of Directors by shareholders prior to the third anniversary of this agreement shall not give rise to any claim or other liability of or against Employer under this Agreement.
Service on Board of Directors. The Executive shall serve on the Board of Directors of the Company and any of its subsidiaries, affiliates or divisions, and as an officer of any subsidiary, affiliate or division, if elected. When this Agreement terminates, Executive will, if requested by the Board of Company, tender his resignation from any and all such Board positions.
Service on Board of Directors. Executive shall serve on Company's Board of Directors during the Employment Term, and whenever during the Employment Term, Executive's term on Company's Board of Directors is due to expire, Company shall include Executive as a nominee for reelection in Company's Proxy Statement for the annual meeting of stockholders for the year in which such expiration is to occur.
Service on Board of Directors. The Company shall take all efforts reasonably within its control to cause the Executive to remain a member of the Board until the annual meeting of shareholders of the Company held in 2005, subject to any actions taken or not taken by any person in respect of compliance with any applicable fiduciary duties.
Service on Board of Directors. For as long as Executive is an employee of the Company, Executive shall receive no additional compensation for serving as Chairman or a member of the Company’s Board of Directors.
Service on Board of Directors. During the Employment Period, Executive shall serve as a member of the Board.
Service on Board of Directors. Buren agrees that so long as he is renominated and reelected each year, he will continue to serve on the Board of Directors of Strategia; provided, that Buren shall immediately resign from the Board of Directors of Strategia (and shall thereafter not seek reelection) upon the adoption of a resolution requesting that he do so approved by a majority of the other members of the Board of Directors then in office. For the period through March 31, 2000, Buren shall be compensated for his service on the Board of Directors pursuant to the terms of Section 3(b) of this Agreement. Buren hereby waives his right to receive any and all other compensation (including cash, stock, options, and other forms of compensation) to which he would otherwise be entitled for his service as a member of the Board of Directors during this period.
Service on Board of Directors. Subject to shareholder approval, you will serve as a Director on the Company's Board at least through the end of the Consulting Period.
Service on Board of Directors. During the Employment Term, the Board shall nominate the Executive for re-election as a member of the Board at the expiration of the then current term, provided that the foregoing shall not be required to the extent prohibited by legal or regulatory requirements.
