Service and Management Contracts. To the best of Seller's knowledge, the agreements provided under Section 4.09 are all of the agreements concerning the operation and maintenance of the Project entered into by Seller and affecting the Project (collectively, "Service/Equipment Contracts"). Seller is not in default under any of the Service/Equipment Contracts and, to the best of Seller's knowledge, no other parties to any of the Service/Equipment Contracts are in default, nor do any conditions exist that, with the passage of time, or giving of notice, or both, shall constitute a default. To the best of Seller's knowledge, the copies of the Service/Equipment Contracts provided to Buyer pursuant to Section 4.08 are true, accurate and complete as of the date hereof, are in full force and effect and none of them has been modified, amended or extended.

Service and Management Contracts. To Seller’s knowledge, Schedule D attached hereto lists all service, maintenance, supply and management contracts (collectively, “Service Contracts”) affecting the operation of the Property. Seller will provide a notice of termination upon the expiration of the Inspection Period for all Service Contracts which can be terminated in accordance with their terms and without the payment of a termination fee by Seller (the “Terminable Service Contracts”). Buyer shall assume at Closing (i) the Terminable Service Contracts until such time as the termination of such contracts by Seller shall become effective, and (ii) all Service Contracts that cannot be terminated by their terms or that cannot be terminated without payment of a termination fee by Seller. In any event, Seller will terminate all management and leasing agreements at no cost to Buyer.
