Equipment Contracts. Schedule 3.1(w) sets forth a complete list of all Equipment Contracts together with a description of the Fixed Assets to which the Equipment Contracts relate. All of the Equipment Contracts are in full force and effect and no default exists on the part of the Corporation, or, to the knowledge of Simmax and/or the Corporation, on the part of any of the other parties thereto. The interest of the Corporation under each of the Equipment Contracts, as applicable, is held free and clear of any Encumbrance and all payments due under the Equipment Contracts have been duly and punctually paid.
Equipment Contracts. Schedule 4.22 of the Disclosure Schedules sets forth a complete list of all Equipment Contracts involving aggregate payments in excess of $25,000 per annum, together with a description of the assets to which the Equipment Contracts relate. All of the Equipment Contracts are in full force and effect and no material default exists on the part of the Corporation, or, to the knowledge of the Corporation, on the part of any of the other parties thereto. The entire interest of the Corporation under each of the Equipment Contracts is held by the Corporation free and clear of any Encumbrances, other than Permitted Encumbrances, and all payments due under the Equipment Contracts have been duly and punctually paid.

The entire interest of the Corporations under each of the Equipment Contracts is held by them free and clear of any Encumbrances, other than Permitted Encumbrances, and all payments due under the Equipment Contracts have been duly and punctually paid. To the extent any rights under the Equipment Contracts are not used directly in the Business, the Corporations have legally enforceable commitments from Franchisees which are at arm's length from the Vendors and the Corporations, to reimburse the Corporations for the costs of those rights.

Schedule 6.22 sets forth a complete list of all equipment leases, conditional sales contracts, title retention agreements and other agreements relating to equipment used by the Vendor in connection with the Business or situated on or within the Facilities (the “Equipment Contracts”); all such Equipment Contracts are in full force and effect and no default exists on the part of the Vendor, or, to the best of the knowledge of the Vendor on the part of any of the other parties thereto; the entire interest of the Vendor under any such Equipment Contracts is held by it free and clear of any and all Encumbrances other than Permitted Encumbrances, and all payments due under such Equipment Contracts have been duly paid.

The entire interest of the Vendor under each of the Equipment Contracts is held by it free and clear of any Encumbrances other than Permitted Encumbrances and all payments due under the Equipment Contracts have been duly and punctually paid.

The Equipment Contracts listed in Schedule 4.28 are all those used, directly or indirectly, to earn the revenue shown on the Financial Statements. All of the Equipment Contracts are in full force and effect unamended and there are no outstanding defaults (or events which would constitute a default with the passage of time or giving of notice or both) under the Equipment Contracts on the part of the Vendor or, to the knowledge of the Vendor, on the part of any of the other parties thereto. The interest of the Vendor under each of the Equipment Contracts is held by it free and clear of any Encumbrance, other than Permitted Encumbrances, and all payments due under the Equipment Contracts have been duly and punctually paid.
Equipment Contracts. Lakes will assist in the selection, ordering, expediting, and installation of furniture, fixtures and equipment required for the Project Facilities. Lakes shall propose to Iowa Corp for its approval one or more contractors to provide equipment or personal property for use in connection with operations of the Project Facilities, (the "Equipment Contractor"). As soon as reasonably practical, Iowa Corp shall either approve or reject each proposed Equipment Contractor. In the case of a rejection, the process shall be repeated until Iowa Corp has approved a Equipment Contractor proposed. Once the Equipment Contractor has been approved by Iowa Corp, Lakes shall negotiate and propose to Iowa Corp for its approval one or more forms of agreements for execution by Iowa Corp to engage the Equipment Contractor (the "Equipment Contract").
