Royalty and Payment Obligations. Expiration of this Agreement pursuant to Section 10.1 above, and termination of this Agreement will release both parties from any obligation to pay royalties or make any payments to the other party which would otherwise become due or payable on or after the effective date of termination.

Termination of this Agreement by either Party for any reason will not release Roche from any obligation to pay royalties or make any payments to Memory which were accrued prior to the effective date of termination (including for sales made and Events achieved under Article 4, prior to the date of termination). Termination of this Agreement by a Party, for any reason, shall not release the other Party from any obligation to pay royalties or make any other payments that are payable prior to the effective date of termination. However, termination of this Agreement by a Party, for any reason, will release a Selling Party from any obligation to pay royalties or make any payments to the Non-Selling Party that would otherwise become payable on or after the effective date of termination.

Termination of this Agreement by a Party, for any reason, shall not release GBT from any obligation to pay royalties or make any other payments to Roche that are due and payable or accrued prior to the effective date of termination, and shall not affect any other rights or obligations of either Party that have accrued prior to the effective date of termination.

Termination of this Agreement by either Party for any reason will not release Roche from any obligation to pay royalties or milestones or to make any payments to Pharmasset which were accrued prior to the effective date of termination (including for sales made and events achieved under Articles 5 and 6, prior to the date of termination) or that relate to Product(s) or country/countries to which such termination does not relate. However, termination of this Agreement by either Party for any reason will release Roche from any obligation to pay royalties or make any payments to Pharmasset which would have otherwise become accrued after the effective date of termination (provided that Roche shall be obligated to pay royalties and milestones for payments received after the effective date of termination for Products sold prior to such effective date).
Royalty and Payment Obligations. Nothing herein shall be construed to release either Party of any obligation which matured prior to the effective date of any termination. A Party’s liability for any charges, payments or expenses due to the other Party that accrued prior to the termination date shall not be extinguished by termination, and such amounts (if not otherwise due on an earlier date or disputed by paying Party in good faith) shall be immediately due and payable on the termination date.

Termination of this Agreement by a Party, for any reason, shall not release MedImmune from any obligation to pay royalties or make any payments to Inovio that were due and payable prior to the effective date of termination. Unless otherwise expressly provided for herein, termination of this Agreement by a Party, for any reason, will release MedImmune from any obligation to pay royalties or make any payments to Inovio that would otherwise become due or payable after the effective date of termination.
Royalty and Payment Obligations. Except as set forth in Section 16.3.3, termination of this Agreement by Calico, for any reason, shall not release Calico from any obligation to pay royalties or make any payments to C4T that are payable after the effective date of termination until expiration of the applicable Royalty Term.
