RIGHTS, POWERS AND DUTIES OF CREDITOR TRUSTEE. 4.1 Role of the Creditor Trustee. In furtherance of and consistent with the purpose of the Creditor Trust, subject to the terms and conditions contained herein (including in all cases management and direction by the Trust Board, the Creditor Trustee shall (a) hold the Creditor Trust Assets for the benefit of Beneficiaries, and (b) make distributions of Proceeds and other Creditor Trust Assets in accordance with the Distribution Schedule. Subject to the provisions of the Creditor Trust Agreement, the Creditor Trustee in consultation with, and subject to the management and direction of, the Trust Board shall be responsible for all decisions and duties with respect to the Creditor Trust and the Creditor Trust Assets. In all circumstances, the Creditor Trustee shall act in the best interests of all Beneficiaries and in furtherance of the purpose of the Creditor Trust, and shall use commercially reasonable efforts to dispose of the Creditor Trust Assets and to make timely distributions and not unduly prolong the duration of the Creditor Trust.
