Reserve Accounts for Disputed Claims. The Creditor Trustee shall establish the Disputed Claims Reserve, which shall include assets held separately from other assets of the Creditor Trust, subject to an allocable share of all expenses and obligations of the Creditor Trust, on account of Disputed General Unsecured Claims. The Creditor Trustee shall remove funds from the Disputed Claims Reserve as the Disputed Claims are resolved, which funds shall be distributed as provided in Section 4.6(a). Neither the Debtors nor the Reorganized Debtors shall have any obligation with respect to, or liability for, any deficiency in or underfunding of the Disputed Claims Reserve.

Reserve Accounts for Disputed Claims. On and after the Effective Date, the Liquidating Trustee shall hold Cash and/or Liquidating Trust Interests in one or more reserves (the “Disputed Claims Reserve(s)”) in an aggregate amount sufficient to pay each holder of a Disputed Claim the amount such holder would be entitled to receive under the Plan and this Liquidating Trust Agreement from the Liquidating Trust if such claim immediately became allowed in full. The Disputed Claims Reserve(s) will be treated as a disputed ownership fund for federal income tax purposes as provided in the Plan and shall be liable for and provide payment for its share of all taxes, administrative costs and fees. The Debtors shall be the transferors of assets to the Disputed Claims Reserve(s) and the Liquidating Trustee shall be the administrator of the Disputed Claims Reserve(s).

  • Disputed Claims 4.1 Notwithstanding paragraph 4.5 of this Schedule, payment by the Authority of all or any part of any invoice rendered or other claim for payment by the Contractor shall not signify approval of such invoice/claim. The Authority reserves the right to verify invoices/claims after the date of payment and subsequently to recover any sums which have been overpaid.

  • Disputed Amounts 28.1.1 If any portion of an amount due to a Party (the “Billing Party”) under this Agreement is subject to a bona fide dispute between the Parties, the Party billed (the “Non-Paying Party”) shall, prior to the Xxxx Due Date, give written notice to the Billing Party of the amounts it disputes (“Disputed Amounts”) and include in such written notice the specific details and reasons for disputing each item; provided, however, a failure to provide such notice by that date shall not preclude a Party from subsequently challenging billed charges provided that such charges were paid. Notwithstanding the foregoing, except as provided in Section 28.2, a Party shall be entitled to dispute only those charges for which the Date was within the immediately preceding eighteen (18) months of the date on which the other Party received notice of such Disputed Amounts.

  • Audit Rights Period for Construction-Related Accounts and Records Accounts and records related to the design, engineering, procurement, and construction of Connecting Transmission Owner’s Attachment Facilities and System Upgrade Facilities and System Deliverability Upgrades shall be subject to audit for a period of twenty-four months following Connecting Transmission Owner’s issuance of a final invoice in accordance with Article 12.2 of this Agreement.

  • Negative Capital Accounts No Member shall be required to pay to any other Member or the Company any deficit or negative balance which may exist from time to time in such Member’s Capital Account (including upon and after dissolution of the Company).

  • Escrow Accounts Subject to the terms of the related Deferred Servicing Agreement, Seller shall be entitled to withdraw funds from any Escrow Account related to a Deferred Servicing Agreement only for the purposes permitted in the applicable Servicing Agreement.

Any amount so withdrawn shall no longer be a part of the Lower Tier REMIC.
