Rights of the Assignee. Upon such acceptance and recording by the Program Agent, as of the Effective Date, [(i) the Assignee shall be a party to the Agreement and, to the extent provided in this Assignment and Acceptance, have the rights and obligations of a [Committed] [Conduit] Lender thereunder and hereunder and (ii)] the Assignor shall, to the extent provided in this Assignment and Acceptance, relinquish its rights and be released from its obligations under the Agreement.
Rights of the Assignee. If the Assignee shall become entitled to exercise the remedies referred to in the Letter of Offer and the GSA, in addition to any other remedies permitted by contract, law or otherwise, the Assignee shall at any time thereafter have the right to enforce all rights and remedies of or in respect of the Assignor under the Lease Agreement and the other Assigned Rights and under the Cape Town Laws and any such right or remedy may be exercised separately from or in combination with any right or remedy the Assignee may have and shall be in addition to and not in substitution for any other rights and remedies to the Assignee. The Assignee shall not be bound to exercise such right or remedy or otherwise deal with all or any part of the Lease Agreement or the other Assigned Rights or otherwise realize any proceeds therefrom and shall not be responsible for any loss occasioned by any realization or other dealing with or other failure to realize or otherwise deal with all or any part of the Lease Agreement or the other Assigned Rights. To the extent permitted by law, the Assignor hereby expressly waives each and every formality prescribed by law in relation to any sale, transfer or delivery of the Assigned Rights.
Rights of the Assignee. Upon such acceptance and recording by the Paying Agent, as of the Assignment Effective Date, (i) the Assignee shall (if not already a party) be and become a party to the Credit Agreement and, to the extent provided in this Assignment and Assumption Agreement with respect to the Transferred Interest acquired hereunder, have the rights and obligations of a [Committed Lender] [Conduit Lender] thereunder and hereunder, and (ii) the Assignor shall, to the extent provided in this Assignment and Assumption Agreement with respect to the Transferred Interest transferred hereby, relinquish its rights and be released from its obligations under the Credit Agreement.
Rights of the Assignee the ASSIGNEE shall be entitled to file any application/s or take any other actions or to make any amendment or connection as necessary in respect of the said Trademarks and copyright application before competent authorities including right to xxx and the ASSIGNOR shall have no objection against the same. Moreover, the ASSIGNOR from the date abovementioned hereby shall not claim any right or interest in the said Trademarks. Furthermore, the ASSIGNEE will be entitled to use/ enjoy the said Trademarks in respect of the ASSIGNEE’S business without any objection and interruption by the ASSIGNOR or any person laying claim under the ASSIGNOR.
Rights of the Assignee. Notwithstanding anything else to the contrary herein, the Assignee shall have all of the rights, benefits, privileges, protections and indemnities provided to the Collateral Agent under the Credit Agreement.
Rights of the Assignee. On the Effective Date, (i) each Assignee shall be a party to the Receivables Loan Agreement and, to the extent provided in this Section 2, have the rights and obligations of a Committed Lender, Conduit Lender or Managing Agent, as applicable thereunder and (ii) each Assignor shall, to the extent provided in this Section 2, relinquish its rights and be released from its obligations under the Receivables Loan Agreement.
Rights of the Assignee. 6.1 Without prejudice to the other provisions under this Deed, this Deed shall be enforceable immediately upon the declaration of an Events of Default under Clause 12 of the Facility Agreement and the Assignee shall automatically have the right to enforce all of its rights and powers under the laws, the Facility Agreement and this Deed without any notice or consent of the Assignor.
Rights of the Assignee. 4.2.1 All rights title and interest of the Assignor in and to the First Assignment Agreement Mining Concession Contract.

Upon such acceptance and recording by the Administrative Agent, as of the Effective Date, (i) the Assignee shall be a party to the Receivables Transfer Agreement and, to the extent provided in this Assignment and Acceptance, have the rights and obligations of a Committed Purchaser thereunder, hereunder and under the other Transaction Documents and (ii) the Assignor shall, to the extent provided in this Assignment and Acceptance, relinquish its rights and be released from its obligations under the Receivables Transfer Agreement.
