Removal of Managers. At any special meeting of the Members, duly called as provided in this LLC Agreement, any manager or managers may, by the affirmative vote of the holders of a majority of all the Percentage Ownership entitled to vote for the election of managers, be removed from office, either with or without cause. At such meeting a successor or successors may be elected by a majority of the votes cast.
Removal of Managers. (a) Subject to Section 4.01, the Member may remove any Manager with or without cause at any time.

The Member who designated such removed Manager shall be entitled to designate the successor without any further action by the Members or other Managers. If any action of the Members is required under applicable law, the Members agree to take such action and any other action as may be necessary from time to time to effectuate the provisions of this Section 8.3.
