Resignation of Member. A member may resign, retire or withdraw from the Company at any time by giving ninety (90) days advance written notice to the remaining members. The right of a resigning, retiring or withdrawing member to compensation for the member’s ownership interest in the Company will be governed by the provisions of Article 8 of this Agreement. The resignation, retirement or withdrawal of a member will terminate the member’s membership and voting rights in the Company as of the date of the resignation, retirement or withdrawal. The remaining members must consent to continue the business and affairs of the Company by agreement or consent of all the remaining members within resignation, retirement or withdrawal. ninety (90) days after the
Resignation of Member. A member may resign from the Company at any time by giving written notice of such resignation to the Company. A withdrawing member is entitled to receive within a reasonable time after withdrawal the fair value of its interest in the Company as of the date of withdrawal.
Resignation of Member. A Member (other than a Managing Member) may resign from the Company prior to the dissolution and winding up of the Company only upon, and shall be deemed to have resigned upon, any redemption, exchange or other repurchase by the Company or an assignment of its interests in compliance with the provisions of Section 10.04 and Section 10.05.
Resignation of Member. The Member shall be prohibited from resigning as a member of the Company. The bankruptcy (as defined in the Act) of a Member or a Special Member shall not cause such Member or Special Member to cease to be a Member or Special Member of the Company and upon the occurrence of such an event, the business of the Company shall continue without dissolution.

Resignation of Member. A Member may not withdraw from the Company except on the unanimous consent of the remaining Members. The terms of a Member’s withdrawal shall be determined by agreement between the remaining Members and the withdrawing Member.
Resignation of Member. Any member of the Committee may resign by giving notice to the Executive Committee at least fifteen (15) days before the effective date of his resignation. Any Com- mittee member shall resign upon request of the Executive Committee. The Executive Committee shall fill all vacancies on the Committee as soon as is reasonably possible after a resignation takes place, and until a new appointment takes place, the remaining members of the Committee shall have authority to act, if approved by either a majority of the remaining members or by two (2) members, whichever number is lesser.
Resignation of Member. Member shall resign, effective as of the Closing Date, all positions he holds as either an officer or director of CTU or MDJB, Inc., and shall serve as President of Newco or HUI and Chancellor of Huron University.
