Reimbursement for Patent Expenses. LICENSEE shall reimburse MCGRI for all reasonable, documented out-of-pocket fees, costs, and expenses hereafter during the term of this Agreement paid or incurred by MCGRI in filing, prosecuting, and maintaining the Licensed Patents in the Licensed Territory. LICENSEE shall provide such reimbursement for patent expenses within 30 days of receipt of the itemized invoice.
Reimbursement for Patent Expenses. (i) COMPANY shall reimburse EMORY for all fees, costs, and expenses incurred by EMORY after the Effective Date and during the term of this Agreement related to Prosecuting or Maintaining the Licensed Patents in the Licensed Territory. COMPANY shall deliver such payment to EMORY within thirty (30) days after EMORY notifies COMPANY of the amount of such fees, costs, and expenses. To the extent that COMPANY does not remit payment of any uncontested amounts within sixty (60) days of notification, a late payment charge of one percent (1%) per month will be assessed against the COMPANY.
Reimbursement for Patent Expenses. (i) COMPANY shall reimburse LICENSOR for all fees, costs, and expenses incurred by LICENSOR after the Effective Date and during the term of this Agreement related to Prosecuting or Maintaining the Licensed Patents in the Licensed Territory, as provided for in Section 7. COMPANY shall deliver such payment to LICENSOR within [* * *] days after LICENSOR notifies COMPANY of the amount of such fees, costs, and expenses.
Reimbursement for Patent Expenses. 3.6.1 COMPANY shall reimburse EMORY on behalf of the LICENSOR for all fees, costs, and expenses incurred by EMORY and/or LICENSOR after the Effective Date and during the term of this Agreement related to Prosecuting or Maintaining the Licensed Patents in the Licensed Territory. COMPANY shall deliver such payment to EMORY on behalf of the LICENSOR within [*****] after EMORY on behalf of the LICENSOR provides COMPANY with detailed invoices of the amount of such fees, costs, and expenses. To the extent that COMPANY does not remit payment of any uncontested amounts within [*****] of notification, a late payment charge of [*****] will be assessed against the COMPANY.
Reimbursement for Patent Expenses. BUKWANG shall reimburse LICENSOR for all external fees, costs, and expenses heretofore and hereafter during the term of this Agreement paid or incurred by LICENSOR in filing, prosecuting, and maintaining the Licensed Patents in the Licensed Territory.
Reimbursement for Patent Expenses. Licensee shall reimburse CARDIFF for all un-reimbursed Patent Expenses (in no event to exceed [*****] in the aggregate) incurred before the Effective Date. Thereafter, Licensee shall reimburse CARDIFF for all un-reimbursed Patent Expenses incurred for each patent or patent application within the Licensed Patents for which Licensee is the only licensee of CARDIFF (excluding Sublicensees). For Licensed Patents where there are one or more additional licensees of CARDIFF other than Licensee (excluding Sublicensees), Licensee shall reimburse CARDIFF a pro rata share of Patent Expenses based upon the number of aggregate licensees; for example, Licensee would reimburse CARDIFF for [*****] of Patent Expenses incurred for a patent having one other direct licensee of CARDIFF. Upon entering into the first additional license agreement for the Licensed Patents other than with Licensee (excluding Sublicensees), CARDIFF shall reimburse Licensee for [*****] of Patent Expenses incurred prior to the date of that license agreement. As used herein, un-reimbursed Patent Expenses shall mean CARDIFF has not received, and has no right to receive, reimbursement of such expenses from any third party. Licensee shall make such payments within sixty (60) days of CARDIFF’s invoice date.
Reimbursement for Patent Expenses. ALIMERA shall reimburse EMORY for all reasonable external out-of-pocket fees, costs, and expenses incurred by EMORY after the Effective Date during the * Certain information has been omitted and filed separately with the Commission. Reimbursement for Patent Expenses. 6.2.1 COMPANY shall reimburse EMORY for all out-of-pocket fees, costs, and expenses incurred by EMORY during the OPTION PERIOD in filing, prosecuting, and maintaining the LICENSED PATENTS. COMPANY shall deliver such reimbursement to EMORY within thirty (30) days after EMORY, from time to time, notifies COMPANY of the amount of such fees, costs, and expenses which have been paid or incurred by EMORY and provide copies of invoices with backup support.
Reimbursement for Patent Expenses. LICENSEE shall assume the responsibility and cost of out-of-pocket fees, costs, and expenses hereafter during the term of this Agreement incurred in filing, prosecuting, and maintaining the Licensed Patents in the Licensed Territory.
Reimbursement for Patent Expenses. ALIMERA shall reimburse EMORY for all reasonable external out-of-pocket fees, costs, and expenses incurred by EMORY after the Effective Date during the term of this Agreement in filing, prosecuting, and maintaining the Licensed Patents in the Licensed Territory; provided, however, that if the Option Period expires, ALIMERA has not exercised the option, and thereafter EMORY grants one or more commercial licenses to the Licensed Patents, the reimbursement to EMORY of such fees, costs and expenses for work performed subsequent to any such grant(s) shall be equally divided among ALIMERA and the other licensee(s).
