REAL ESTATE BROKER. Tenant represents to Landlord that Tenant has not dealt with any real estate broker with respect to this Lease except for any broker(s) listed in the Schedule, and no other broker is in any way entitled to any broker's fee or other payment in connection with this Lease. Tenant shall indemnify and defend Landlord against any claims by any other broker or third party for any payment of any kind in connection with this Lease.
REAL ESTATE BROKER. The Tenant represents that Tenant has dealt with (and only with) the Broker specified in ARTICLE 1 hereof as broker in connection with this Lease, and that insofar as Tenant knows, no other broker negotiated this Lease or is entitled to any commission in connection therewith. Tenant agrees to indemnify, defend and hold harmless Landlord its employees and agents from and against any claims made by any broker or finder other than the Broker named above for a commission or fee in connection with this Lease or any sublease hereunder, but nothing herein shall be construed as permitting any such sublease, provided that Landlord has not in fact retained such broker or finder. Landlord agrees to indemnify, defend and hold harmless Tenant, its employees and agents from and against any claims made by any broker or finder named above for a commission or fee in connection with this Lease, provided Tenant has not in fact retained such broker or finder and, in addition, Landlord shall pay the fees of the Broker(s) named in ARTICLE 1 of this Lease.
REAL ESTATE BROKER. Tenant represents that, except for Lincoln Property Company Commercial, Inc. (“Broker”), Tenant has not dealt with any real estate broker, salesperson or finder in connection with this Twelfth Amendment and no such person initiated or participated in the negotiation of this Thirteenth Amendment or is entitled to any fee or commission in connection herewith. Tenant hereby agrees to indemnify and hold Landlord, its property manager and their respective agents and employees harmless from and against any and all damages, liabilities, claims, actions, costs and expenses (including attorneysfees) arising from either (i) any claims or demands of any broker, other than Broker, salesperson or finder for any tee or commission alleged to be due such broker, salesperson or finder in connection with this Thirteenth Amendment or (ii) a claim of, or right to, any lien under the Statutes of the State of Illinois relating to real estate broker liens with respect to any such broker, salesperson or finder retained by Tenant.
REAL ESTATE BROKER. Tenant represents and warrants that the Tenant has dealt with no broker, agent or finder in connection with this Lease other than Lavista Associates, Inc. (“Broker”), which broker is acting on behalf of Tenant and shall be paid a commission by Landlord pursuant to a separate agreement, and insofar as the Tenant knows, no other brokers, agent or finder negotiated this Lease or is entitled to any commission or fee in connection herewith. Tenant agrees to indemnify, defend and hold Landlord free and harmless from and against all claims for broker’s or agent’s commissions or finder’s fees by any person claiming to have been retained by Tenant in connection with this transaction, or any other losses, costs, expenses (including, without limitation, attorney’s fees), liabilities, damages, causes of actions or suits arising out of the alleged employment or use of a broker, agent or finder by Tenant. REAL ESTATE BROKER. Lessor and Lessee each represent to the other that they have dealt with no broker in connection with this Lease other than Newmark Xxxxxx Xxxxx (“NKF” or “Broker”). If, and only if, this Lease is executed and delivered by both Lessor and Lessee, Lessor shall pay NKF a brokerage fee under a separate agreement with NKF. Lessee agrees to indemnify and hold Lessor harmless from and against any claims for commissions or fees by any person other than the Broker by reason of any act of Lessee or its representatives. Lessor agrees to indemnify and hold Lessee harmless from and against any claims for commissions or fees by any person by reason of any act of Lessor or its representatives.
REAL ESTATE BROKER. Each party represents to the other that such party has not dealt with any real estate broker with respect to this Lease except for any broker(s) listed in the Schedule, and no other broker is in any way entitled to any broker’s fee or other payment in connection with this Lease. Landlord agrees to pay any commissions owed to the brokers identified in such Schedule pursuant to a separate written agreement with such brokers. Each party shall indemnify and defend the other against any claims by any other broker or third party for any payment of any kind in connection with this Lease attributable to the acts of such party.

REAL ESTATE BROKER. Landlord and Tenant acknowledge and agree that: (i) Landlord has been represented in connection with this First Amendment by Amerimar Realty Management Co. Colorado ("Amerimar") as Landlord's agent and by Xxxxx X. X. Xxxx, Broker, Ltd. ("Xxxx") as Landlord's subagent, and (ii) Tenant has been represented in connection with this First Amendment by Xxxxxxx Realty Corporation (Xxxx X. Xxxxxx) ("Xxxxxxx") as Tenant's agent. Tenant agrees to indemnify, defend and hold Landlord harmless from and against any claims, for a commission or other compensation in connection with this First Amendment, made by any broker or finder (other than Amerimar, Xxxx and Xxxxxxx) who claim to have dealt with or communicated to Tenant in connection with this First Amendment, PROVIDED THAT Landlord has not in fact retained such broker or finder. Landlord agrees to indemnify, defend and hold Tenant harmless from and against any claims, for a commission or other compensation in connection with this First Amendment, made by any broker or finder who claim to have dealt with or communicated to Landlord in connection with this First Amendment, provided that Tenant has not in fact retained such broker or finder.
REAL ESTATE BROKER. Tenant represents that it has not dealt with any real estate broker except for that broker listed, if any, in Item 11 in the Schedule, with respect to this Lease and, to its knowledge no other broker initiated or participated in the negotiation of this Lease, submitted or showed the Premises to Tenant or is entitled to any commission in connection with this Lease. Landlord shall execute a brokerage agreement with the broker listed in Item 11 in the Schedule, which agreement must be acceptable to Landlord and to the broker listed in Item 11 in the Schedule. Tenant agrees to indemnify and hold Landlord harmless from all claims from any other real estate broker for commission or fees in connection with this Lease.
REAL ESTATE BROKER. Seller and Purchaser acknowledge that this Agreement was procured without intervention of any broker except for the Seller’s Agent and the Purchaser’s Agent, if any, listed on the first page of this Agreement, which shall be entitled to a commission payable by Seller in accordance with the terms of a separate agreement with Seller if and only if the sale closes. Purchaser shall indemnify Seller against the claims of any other broker, including any attorney’s fees incurred as a result of such claim.
