No Other Broker. The Company will not incur any liability for any finder’s or broker’s fee or agent’s commission in connection with the execution and delivery of this Agreement, or the consummation of the transactions contemplated hereby.
No Other Broker. Other than Xxxxxx Xxxxxxx & Co. Incorporated, the fees and expenses of which will be paid by Seller, no broker, finder or similar intermediary has acted for or on behalf of Seller or the Company or the Subsidiaries, or is entitled to any broker’s, finder’s or similar fee or other commission from Seller, the Company or the Subsidiaries, in connection with this Agreement or the transactions contemplated hereby.
No Other Broker. No broker, finder or similar intermediary has acted for or on behalf of Buyer or any Affiliate of Buyer, or is entitled to any broker’s, finder’s or similar fee or other commission from Buyer, or any Affiliate of Buyer, in connection with this Agreement or the transactions contemplated hereby.
No Other Broker. Other than X.X. Xxxxxx Xxxxx, the fees and expenses of which have been or will be paid by TMM, no broker, finder or similar intermediary is entitled to any broker's, finder's or similar fee or other remuneration from or as a result of engagement by, Sellers or any of their respective Affiliates in connection with this Agreement, the Ancillary Agreements or the transactions contemplated hereby or thereby.
No Other Broker. Other than Deutsche Bank, whose fees and expenses will be paid by KCS, no broker, finder or similar intermediary is entitled to any broker's, finder's or similar fee or other commission from or as a result of engagement by KCS or any of its Subsidiaries in connection with this Agreement, the Ancillary Agreements or the transactions contemplated hereby or thereby.
No Other Broker. Other than Smitx Xxxxxx Xxx., no broker, finder or similar intermediary has acted for or on behalf of Buyer or Buyer Sub in connection with this Agreement or the transactions contemplated hereby, and no other broker, finder, agent or similar intermediary is entitled to any brokers', finders' or similar fee or other commission in connection therewith based on any agreement, arrangement or understanding with Buyer or Buyer Sub or any action taken by Buyer or Buyer Sub.
No Other Broker. Except for the arrangements set forth on Schedule 3.18 (the cost and expense of which will be borne by the Company), neither the Company nor any of its Subsidiaries has entered into any agreement with any Person to pay any broker's, finder's or similar fee in connection with the transactions contemplated hereby.
No Other Broker. Other than Credit Suisse First Boston Corporation, the fees and expenses of which will be paid by Buyer, no broker, finder or similar intermediary has acted for or on behalf of Buyer or any Affiliate of Buyer, or is entitled to any broker's, finder's or similar fee or other commission from Buyer, or any Affiliate of Buyer, in connection with this Agreement or the transactions contemplated hereby.
No Other Broker. Other than Goldxxx, Xxchx & Xo., no broker, finder or similar intermediary has acted for or on behalf of ASFC in connection with this Agreement or the transactions contemplated hereby, and no other broker, finder, agent or similar intermediary is entitled to any brokers', finders' or similar fee or other commission in connection therewith based on any agreement, arrangement or understanding with ASFC or any action taken by ASFC.
No Other Broker. Other than Banc of America Securities LLC, no broker, finder or similar intermediary has acted for or on behalf of, or is entitled to any broker's, finder's or similar fee or other commission from, any member of the Price Group, any of the Price Entities or any of their respective Affiliates in connection with this Agreement or the transactions contemplated hereby. The Price Group has delivered to NGP a true and correct copy of all engagement letters with Banc of America Securities LLC, and all amendments and modifications thereto, and such letters set forth all fee arrangements with Banc of America Securities LLC with respect to the transactions contemplated hereby.
