Parties and Assignment. This Agreement shall be binding upon and shall inure to the benefit of the parties and their respective successors and assigns.

This Agreement and the other Financing Agreements shall be binding upon and inure to the benefit of the Agent, the Lenders, the Borrowers and their respective successors and assigns. Each Borrower's successors and assigns shall include, without limitation, any trustee, receiver or debtor in possession of or for such Borrower. If Licensee wishes to transfer the license with the sale of its business, it must have the prior written consent of Licensor, which shall not be unreasonably withheld. Parties and Assignment. This Agreement shall be binding upon and shall inure to the benefit of the parties hereto and their respective successors and assigns; provided, however, that this Agreement may not be assigned by any party without the consent of the other parties hereto, except that the Buyer may designate a wholly owned subsidiary as the purchaser of the Shares, but such designation shall not relieve the Buyer of any of its obligations hereunder. Notwithstanding the foregoing or any other provision in this Agreement the benefit of all representations and warranties given under this Agreement or pursuant to this Agreement by Seller may be assigned, in whole or in part and without restriction, to any person acquiring any of the Shares from Buyer and accordingly such person shall be entitled to enforce each of the representations and warranties against the Seller as if they were named in this Agreement as the Buyer.
