Outside North America. If the Product is purchased or installed outside of North America, Xxxxxxxx Racing warrants the Product to be free from defects in materials and workmanship for a period of one (1) year from the date the product is purchased, subject to the limitations contained herein and as described in this limited warranty.

Outside North America. If the Customer purchased the subscription to the Platform outside North America, then the contracting party to this Agreement, referred to herein as Cyberint is Cyberint Technologies Ltd., or in case the subscription was purchased from a Reseller situated outside North America, and unless otherwise indicated in the Proposal, the laws of the State of Israel shall exclusively govern all issues arising under or relating to this Agreement, without giving effect to the conflict of laws principles thereof. All disputes arising under or relating to this Agreement shall be resolved exclusively in the competent courts in Tel Aviv, Israel.
Outside North America. HSIC will continue to work with Biolase as a Preferred Vendor Partner and the parties will continue the exclusive rights in various markets as previously agreed to.
Outside North America. If the delivery or shipping address or corporate address of Buyer is outside North America, JDC and Buyer agree that this Agreement shall be governed by and construed in accordance with Hong Kong law, without regard to any conflicts of laws principles that would require the laws of another jurisdiction to apply. Buyer and JDC agree that Disputes, if any, shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of arbitration shall be Hong Kong. The number of arbitrators shall be three. The arbitration proceedings shall be conducted in Chinese. The final determination as to the delivery or shipping address or the corporate address of Buyer being selected for deciding the governing law and jurisdiction of this Agreement shall be at the sole discretion of JDC.

  • Outside Services Consultant shall not use the service of any other person, entity, or organization in the performance of Consultant’s duties without the prior written consent of an officer of the Company. Should the Company consent to the use by Consultant of the services of any other person, entity, or organization, no information regarding the services to be performed under this Agreement shall be disclosed to that person, entity, or organization until such person, entity, or organization has executed an agreement to protect the confidentiality of the Company’s Confidential Information (as defined in Article 5) and the Company’s absolute and complete ownership of all right, title, and interest in the work performed under this Agreement.

  • Investment Management and Related Activities Except as set forth on Schedule 3.25 of the Company Disclosure Schedule, none of the Company, any of its Subsidiaries or the Company’s or its Subsidiaries’ directors, officers or employees is required to be registered, licensed or authorized under the laws or regulations issued by any Governmental Authority as an investment adviser, a broker or dealer, an insurance agency or company, a commodity trading adviser, a commodity pool operator, a futures commission merchant, an introducing broker, a registered representative or associated person, investment adviser, representative or solicitor, a counseling officer, an insurance agent, a sales person or in any similar capacity with a Governmental Authority.

  • Geographic Scope The "Territory," which defines the geographic scope of the covenants contained in this Section 7, shall extend to and include all of the states (or foreign equivalent) in which the Company does business as M&A advisors or private placement equity advisors.
