Opinion of Outside Counsel for the Company. The Representative shall have received an opinion, dated such Closing Date, of Akin Gump Xxxxxxx Xxxxx & Xxxx LLP, counsel for the Company, as to the matters described in Schedule E hereto.
Opinion of Outside Counsel for the Company. Xxxxxxxx, Xxxxxxxx & Xxxxxx, P.A., special counsel for the Company, shall have furnished to the Representatives, at the request of the Company, their written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, substantially in the form agreed upon with the Representatives prior to the date hereof.
Opinion of Outside Counsel for the Company. At Closing Time, the Representative shall have received the favorable opinion, dated as of Closing Time, of Shearman & Sterling LLP, outside counsel for the Company, in form and substance satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters to the effect set forth in Exhibit B hereto and to such further effect as counsel to the Underwriters may reasonably request.
Opinion of Outside Counsel for the Company. At the Closing Time, the Underwriters shall have received the favorable opinion, dated as of the Closing Time, of Xxxxxx & Xxxxxxx LLP, counsel for the Company, in form and substance satisfactory to counsel for the Underwriters, to the effect set forth in Exhibit A hereto. Except as otherwise mutually agreed upon by the parties, in giving such opinion such counsel may rely, as to all matters governed by the laws of jurisdictions other than the law of the State of New York, the federal law of the United States and the General Corporation Law of the State of Delaware, upon the opinions of counsel satisfactory to the Underwriters. Such counsel may also state that, insofar as such opinion involves factual matters, they have relied, to the extent they deem proper, upon certificates of the officers of the Company and its subsidiaries and certificates of public officials.
Opinion of Outside Counsel for the Company. The Underwriter shall have received an opinion, dated such Closing Date, of Akin Gump Xxxxxxx Xxxxx & Xxxx LLP, counsel for the Company, as to the matters described in Schedule E hereto.

Holland & Knight LLP, counsel for the Company, shall have furnished to the Representatives, at the request of the Company, their written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, substantially in the form set forth in Annex C hereto.

At the Closing Time, the Representatives shall have received the opinion and letter, dated the Closing Time, of Cravath, Swaine & Xxxxx LLP, counsel for the Company, in form and substance satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such opinion and letter for each of the other Underwriters to the effect set forth in the form agreed upon with the Representatives prior to the date hereof. The favorable opinion of Shearman & Sterling LLP, outside counsel for the Company, in form and substance satisfactory to counsel for the Underwriters, dated such Date of Delivery, relating to the Option Securities to be purchased on such Date of Delivery and otherwise to the same effect as the opinion required by Section 5(c) hereof.
Opinion of Outside Counsel for the Company. On the Closing Date the Initial Purchasers shall have received an opinion letter from Vxxxxx & Exxxxx L.L.P., counsel for the Company, dated as of such Closing Date, the form of which is attached as Exhibit A.
Opinion of Outside Counsel for the Company. Akin Gump Xxxxxxx Xxxxx & Xxxx LLP and Mayer, Brown, Xxxx & Maw LLP, outside counsel for the Company, shall have furnished to the Representatives, at the request of the Company, their written opinions, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex A and Annex B hereto, respectively.
