On the Closing Date, the Representative shall have received the opinion of Think IP, P.C., dba Prince IP, special intellectual property counsel for the Company, dated the Closing Date, addressed to the Representative in form and substance reasonably satisfactory to the Representative.
Opinion of Special Intellectual Property Counsel for the Company. On the Closing Date, the Representative shall have received the opinion of [COMPANY COUNSEL], special intellectual property counsel for the Company, dated the Closing Date, addressed to the Representative substantially in the form of Exhibit __ attached hereto.] 1
Opinion of Special Intellectual Property Counsel for the Company. On the Closing Date, the Representative shall have received the opinion of Xxxxxx Law Firm, PLLP, special intellectual property counsel for the Company, dated the Closing Date, addressed to the Representative substantially in the form of Exhibit D attached hereto.
Opinion of Special Intellectual Property Counsel for the Company. Pxxxxxx Xxxxx & Exxxx, LLP special counsel for the Company for Intellectual Property matters, shall have furnished to the Underwriters, at the request of the Company, their written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Underwriters, to the effect set forth in Annex C hereto.
Opinion of Special Intellectual Property Counsel for the Company. On the Closing Date, the Representative shall have received the opinion of Mintz, Levin, Cohn, Ferris, Glovsky & Popeo, P.C., special intellectual property counsel for the Company, dated the Closing Date, addressed to the Representative, in form and substance reasonably satisfactory to the Representative.
Opinion of Special Intellectual Property Counsel for the Company. On the Closing Date, the Representative shall have received the opinion of DLA Piper (Canada) LLP, as intellectual property counsel for the Company, dated the Closing Date and addressed to the Representative, substantially in the form of Exhibit F attached hereto and containing customary assumptions and exclusions.
Opinion of Special Intellectual Property Counsel for the Company. Sughrue Mion, PLLC, special intellectual property counsel for the Company, shall have furnished to the Representative, at the request of the Company, their written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representative, to the effect set forth in Annex A-2 hereto.
Opinion of Special Intellectual Property Counsel for the Company. On the Closing Date, the Underwriter shall have received the opinion of One3 IP Management, P.C, special intellectual property counsel for the Company, dated the Closing Date, addressed to the Underwriter in a form reasonably acceptable to the Underwriter.
Opinion of Special Intellectual Property Counsel for the Company. On the Closing Date, the Representative shall have received the opinion of Marks & Clerk Canada, as special intellectual property counsel for the Company, and a written statement providing certain “10b-5” negative assurances, dated the Closing Date and addressed to the Representative, in a form reasonably acceptable to the Representative.
