Opinion of Special Intellectual Property Counsel for the Company. On the Closing Date, the Representative shall have received the opinion of Xxxxxx & Bird LLP, special intellectual property counsel for the Company, dated the Closing Date and addressed to the Representative, in a form reasonably acceptable to the Representative.

Opinion of Special Intellectual Property Counsel for the Company. On the Closing Date, and on the Option Closing Date, if any, the Representative shall have received the favorable opinion and negative assurance letter of Wxxxxx Xxxxxxx Xxxxxxxx & Rxxxxx, Professional Corporation, special intellectual property counsel for the Company, dated the Closing Date, or the Option Closing Date, as applicable, addressed to the Representative in form and substance reasonably satisfactory to Representative Counsel.

Opinion of Special Intellectual Property Counsel for the Company. On the Closing Date, the Representative shall have received the opinion of Xxxxxx Law Firm, PLLP (“Xxxxxx”), special intellectual property counsel for the Company, dated the Closing Date, addressed to the Representative substantially in the form of Exhibit D attached hereto.

Opinion of Special Intellectual Property Counsel for the Company. On the Closing Date, the Representative shall have received the opinion of [_____], special intellectual property counsel for the Company, dated the Closing Date, addressed to the Representative, substantially in a form acceptable to the Representative.

Opinion of Special Intellectual Property Counsel for the Company. On the Closing Date, the Placement Agent shall have received the opinion of Xxxx & Associates PLLC, as special intellectual property counsel for the Company, and a written statement providing certain “10b-5” negative assurances, dated the Closing Date, and addressed to the Placement Agent, in a form reasonably acceptable to the Placement Agent.

Opinion of Special Intellectual Property Counsel for the Company. Xxxxx & XxXxxxxx LLP, special intellectual property counsel for the Company and the Guarantor, shall have furnished to the Representatives, at the request of the Company, their written opinion, dated the Closing Date and addressed to the Underwriters, substantially in the form set forth in Annex E hereto.

Opinion of Special Intellectual Property Counsel for the Company. Sughrue Mion, PLLC, special intellectual property counsel for the Company, shall have furnished to the Representatives, at the request of the Company, its written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex A-2 hereto.

Opinion of Special Intellectual Property Counsel for the Company. On the Closing Date, the Underwriter shall have received the opinion of DLA Piper (Canada) LLP, as intellectual property counsel for the Company, dated the Closing Date and addressed to the Underwriter, substantially in the form of Exhibit F attached hereto and containing customary assumptions and exclusions.
