On and subject to the terms and conditions set forth herein, on the Closing Date, DOC shall sell to ADSX, and ADSX shall purchase from DOC, all of DOC’s right, title and interest in and to an aggregate of $3,500,000 worth of shares of DOC Common Stock at a purchase price equaling the average of the VWAPs of the DOC Common Stock for the ten Trading Days immediately preceding (and not including) the Closing Date (“Per Share Purchase Price”) (the “DOC Shares”).
Securities to be Purchased. Subject to the terms and conditions set forth in this Agreement, at the Closing, the Seller shall sell and transfer to the Buyer, and the Buyer shall purchase from the Seller, all of the Subject Securities, which Subject Securities represent all of the issued and outstanding capital stock of the Company.
Securities to be Purchased. Notwithstanding the foregoing, the Company shall not be required to offer or sell such Equity Securities to any Investor who would cause the Company to be in violation of applicable federal securities laws by virtue of such offer or sale.
Securities to be Purchased. An aggregate of 25,000,000 shares of the Company's restricted common stock, $.01 par value (the "Common Stock").
Securities to be Purchased. The portion of the Subject Securities to be transferred by each Seller shall be as set forth opposite such Seller’s name on Exhibit 1.1 attached hereto. In connection with the transactions contemplated by this Agreement, each Seller hereby waives compliance with Sections 11.05 and 11.06 of the Operating Agreement.

Subject to the terms and conditions set forth in this Agreement, at the Closing, (i) JI shall sell and transfer to ▇▇▇▇▇▇ Global, and ▇▇▇▇▇▇ Global shall purchase from JI, the Metalex Securities; (ii) JI shall sell and transfer to ▇▇▇▇▇▇ Global, and ▇▇▇▇▇▇ Global shall purchase from JI, the Majority JHDM Securities; (iii) JIH shall sell and transfer to MHIG, and MHIG shall purchase from JIH, the Minority ▇▇▇▇▇ DM Securities; and (iv) JIH shall sell and transfer to MHIG, and MHIG shall purchase from JIH, the Minority JHDM Securities.
Securities to be Purchased. On and subject to the terms and conditions set forth herein, on the Distribution Date, each Shareholder shall sell to CTek, and CTek shall purchase from each Shareholder, all of the Shareholders’ right, title and interest in and to the Shareholder Stock.
