Off-Site Mitigation. Within 12 months after the Challenge Period End Date, City shall fund any off-site mitigation required by the mitigation measures listed in Exhibit J attached hereto or required by a Non-City Agency for operation of the Lodge Project; provided, however, that any such off-site mitigation that is required for commencement of construction of the Lodge Project shall be funded by City within 30 days after the Challenge Period End Date.

Off-Site Mitigation. In compliance with the county code, and pursuant to Recital H, above, Developer shall provide right-of-way and construct infrastructure for mitigation of the direct impacts of the contemplated development of the UH Property and the Adjusted Property as determined by Developer and County Public Works staff after County’s review and approval of Developer’s traffic study, concurrency modeling, and safety analysis of the Developer's project. Any dedication of right-of-way or construction of infrastructure described in Recital H above that does not mitigate the direct impacts of development contemplated on the UH Property and Adjusted Property provided by Developer is intended to mitigate some of the direct impacts of Developer’s larger development in the 179th Interchange Area. Transportation mitigation provided by Developer shall be subject to potential credits granted according to the County's regulations and policies governing traffic impact fees and credits. Exhibit F attached hereto identifies the conceptual description of the transportation mitigation efforts described in Recital H above.
Off-Site Mitigation. The costs of off-site mitigation required by any governmental authority as a condition to development of the Property will be borne by the Company, but to the extent such mitigation includes a requirement to construct employee housing, Booth Creek will use its best efforts to convey to the Company (or otherwise make available for such housing), at no cost to the Company, land which is owned by Booth Creek, is sufficient for the construction of such housing, and is at a location reasonably satisfactory to Booth Creek.

  • Set Off; Mitigation The Company’s obligation to pay Executive the amounts and to provide the benefits hereunder shall be subject to set-off, counterclaim or recoupment of amounts owed by Executive to the Company. However, Executive shall not be required to mitigate the amount of any payment provided for pursuant to this Agreement by seeking other employment or otherwise.

  • Risk Mitigation Transfer Agent shall use commercially reasonable efforts to manage, control and remediate any threats identified in the Risk Assessments that it believes are likely to result in material unauthorized access, copying, use, processing, disclosure, alteration, transfer, loss or destruction of Fund Data, consistent with the Objective, and commensurate with the sensitivity of the Fund Data and the complexity and scope of the activities of Transfer Agent pursuant to the Agreement.

  • Site Visits ‌ The Commission may visit the School at any time and may, at its discretion, conduct site visits and monitoring. When appropriate, the Commission shall make reasonable efforts to provide notice of visits. Such site visits may include any activities reasonably related to fulfillment of the Commission’s oversight responsibilities including, but not limited to, inspection of the facilities; audit of financial books and records; inspection of records maintained by the School; interviews and observations of the principal, staff, school families, staff of an affiliated nonprofit or educational service provider and community members; and observation of classroom instruction.

  • Maintenance Training 16.8.1 The Seller will provide maintenance training for the Buyer’s ground personnel as further set forth in Appendix A to this Clause 16. The available courses will be as listed in the Seller’s Customer Services Catalog current at the time of the course. The practical training provided in the frame of maintenance training will be performed on the training devices in use in the Seller’s Training Centers.

  • Hazardous Materials; Remediation (a) If any release or disposal of Hazardous Materials shall occur or shall have occurred on any real property or any other assets of any Borrower or any other Credit Party, such Borrower will cause, or direct the applicable Credit Party to cause, the prompt containment and removal of such Hazardous Materials and the remediation of such real property or other assets as is necessary to comply with all Environmental Laws and to preserve the value of such real property or other assets. Without limiting the generality of the foregoing, each Borrower shall, and shall cause each other Credit Party to, comply with each Environmental Law requiring the performance at any real property by any Borrower or any other Credit Party of activities in response to the release or threatened release of a Hazardous Material.

  • No Set-off or Mitigation Company’s obligation to make the payments provided for in this Agreement and otherwise to perform its obligations hereunder shall not be affected by any set-off, counterclaim, recoupment, defense or other claim, right or action which Company may have against Executive or others. In no event shall Executive be obligated to seek other employment or take any other action by way of mitigation of the amounts payable to Executive under any of the provisions of this Agreement and, except as otherwise provided herein, such amounts shall not be reduced whether or not Executive obtains other employment.

  • Periodic Review of Costs of Environmental Compliance In the ordinary course of its business, the Company conducts a periodic review of the effect of Environmental Laws on the business, operations and properties of the Company and its subsidiaries, in the course of which it identifies and evaluates associated costs and liabilities (including, without limitation, any capital or operating expenditures required for clean-up, closure of properties or compliance with Environmental Laws or any permit, license or approval, any related constraints on operating activities and any potential liabilities to third parties). On the basis of such review and the amount of its established reserves, the Company has reasonably concluded that such associated costs and liabilities would not, individually or in the aggregate, result in a Material Adverse Change.
