Notification of Legal Action. Typhon shall immediately notify Client of the nature and amount of any material action, suit, claim, complaint, investigation, inquiry, enforcement action, or proceeding by any person, entity, or regulatory authority upon receipt by Typhon of notice of any such action, suit, claim, complaint, proceeding, enforcement action, investigation, or other inquiry during the Term.
Notification of Legal Action. Affiliate will immediately notify Company of any current, impending, or potential legal action against it by a third party for matters relating to email, email complaints, email deployment, and violations.

The Contractor shall give SCDHHS immediate notification in writing by certified mail of any administrative legal action or complaint filed and prompt notice of any claim made against the Contractor by a subcontractor or member which may result in litigation related in any way to this Contract with SCDHHS.

The ELC shall notify OEL of legal actions taken against it or potential actions such as lawsuits related to services provided through this agreement, which may impact the ELC’s ability to deliver the contractual services or may adversely impact OEL. The ELC shall notify OEL in writing within twenty-four (24) continuous hours of becoming aware of such actions or from the day of the legal filing, whichever comes first.

If a PARTICIPANT files a lawsuit naming the CONTRACTOR as a defendant, the CONTRACTOR must notify the DEPARTMENT’S general counsel and the DEPARTMENT Program Manager within ten (10) BUSINESS DAYS after CONTRACTOR is served a Summons and Complaint involving a PARTICIPANT. This requirement does not extend to cases of subrogation.

The provider shall notify the department of legal actions taken against them or potential actions such as lawsuits, related to services provided through this contract or that may impact the provider's ability to deliver the contractual services, or adversely impact the department. The department's contract manager will be notified within 10 days of provider becoming aware of such actions or from the day of the legal filing, whichever comes first.

The Vendor and Fiscal Sponsor shall notify the Coalition of legal actions, current or potential, such as lawsuits, claims, or special proceedings taken against the Vendor related to or arising from the Scope of Services; any other action, claim or proceeding that may impact the Vendor’s ability to deliver the Scope of Services set forth in Exhibit A; impact the Fiscal Sponsor’s ability to handle or utilize the funds hereunder; or adversely impact the Coalition, OEL and/or the recipients of the Coalition’s programs. Coalition will be notified in writing within twenty-four (24) chronological hours of the Vendor becoming aware of such action or from the day of the legal filing of said action, whichever is earlier.

The CCN shall give DHH immediate notification in writing by certified mail of any litigation, investigation, complaint, claim or transaction that may reasonably be considered to have a material impact on the CCN’s ability to perform under this Provider Agreement with DHH.
