No Required Meetings. The Members may, but shall not be required to, hold any annual, periodic, or other formal meetings. Meetings of the Members may be called by any Manager or by any Member or Members holding at least Twenty percent (20%) of the Units. Only Members who hold the relevant Units shall have the right to attend meetings of the Members.

However, meetings of the Members may be called by any Manager or by any Member or Members holding, in the aggregate, Sharing Ratios of at least ten percent of the then outstanding Units; provided, however, that no Member shall call, or be entitled to call, any meeting for any nonsignificant or frivolous purposes.
No Required Meetings. The Members may but shall not be required to hold any annual, periodic or other formal meetings other than the minimum prescribed by law. Whenever the vote or consent of Members is permitted or required under this Agreement, such vote or consent may be given at a meeting of Members called pursuant to the procedures in the following Section 5.8 or may be given in accordance with the procedure prescribed in Section 5.9 for written consent to action in lieu of actual meetings.
