No Public Announcements. Neither of the parties hereto shall, without the approval of the other party (which may not be unreasonably withheld), make any press release or other public announcement concerning the transactions contemplated by this Agreement, except as and to the extent that such party shall be so obligated by law, in which case the other party shall be advised and the parties shall use their best efforts to cause a mutually agreeable release or announcement to be issued.
No Public Announcements. Except as required by any applicable Requirements of Law or as set forth in subsection (b) of this Section, no party shall publish any press release (including, without limitation, publicly announcing the consummation of the transactions contemplated by the Transaction Documents) naming any other party without the prior written consent of such other party.
No Public Announcements. Without the prior written consent of the other party, no party hereto will make any press release or other public disclosure with regard to the transactions contemplated by this Agreement.
No Public Announcements. Neither Party shall, nor shall it permit its Affiliates to, issue or release any announcement, statement, press release, or other publicity or marketing materials relating to this Agreement, or, unless expressly permitted under this Agreement, otherwise use the other Party’s or the other Party’s Affiliates’ trademarks, service marks, trade names, logos, domain names, or other indicia of source, association or sponsorship, in each case, without the prior written consent of the other Party, which may not be unreasonably withheld, conditioned, or delayed.
No Public Announcements. Neither Party shall make any statement (whether oral or in writing) in any press release, external advertising, marketing or promotion materials regarding the other Party or its business unless: (a) it has received the express written consent of the other Party; or
No Public Announcements. Prior to Closing, without the prior written consent of the other parties, neither IFT nor TNCI shall make any press release or other public disclosure, or make any statement to any customer, supplier or other person with regard to the transactions contemplated by this Agreement, except as may be required by any applicable securities laws or regulations; provided, however, that TNCI and IFT may each issue a press release and file such other reports and make such other disclosure as may be required by applicable securities law or the rules or regulations of NASDAQ or the Boston Stock Exchange upon execution of this Agreement. Each party shall provide the other with any such press release or other disclosure document prior to its release for review and comment. After Closing, without the prior written consent of each of TNCI and IFT, neither party shall make any press release or other public disclosure, or make any statement to any customer, supplier or other person with regard to the transactions contemplated by this Agreement, except as required by applicable securities laws or regulations or the rules of regulations of NASDAQ or the Boston Stock Exchange.
No Public Announcements. Except as heretofore made, neither Buyer nor ----------------------- Seller shall, without the written approval of the other, make any press release or other public announcement concerning this Agreement, its existence or the transactions contemplated by this Agreement, except as and to the extent that any such party shall be so obligated by law, in which case the other party shall be advised and the parties shall use their reasonable efforts to cause a mutually agreeable release or announcement to be issued.
No Public Announcements. Seller shall not, without first obtaining the express written consent of Buyer, in any manner advertise or publish the fact that Seller has supplied or contracted to supply to Buyer the Ordered Items, except if and to the extent that Seller is required to make any public disclosure or filing regarding the subject matter of the Agreement pursuant to applicable law, rules or regulations.
No Public Announcements. Neither School Board nor any School will make any public announcement or press release regarding the Agreement or any of the provisions contained in the Agreement without the written consent of Best Buy. Neither School Board nor any School will list Best Buy as (or otherwise communicate to third parties that Best Buy may be willing to act as) a reference for School Board or any School without Best Buy’s prior express written consent.
No Public Announcements. Except as provided in Section 10.17.1, without the prior written consent of the other parties, neither the Seller Parties nor Purchaser shall make any press release or other public disclosure, or make any statement to any customer, supplier, employee or other person with regard to the contemplated transactions.
