There is no arbitration, litigation, proceeding, or claim of any kind with respect to the Shows, the Characters or Madison threatened, pending or being prosecuted in any court or before any department, commission, board, bureau, agency, or other governmental instrumentality and, to the best of Madison's knowledge, no such action, suit, arbitration, litigation, proceeding, or claim is threatened or being asserted.

No Litigation or Claims. Seller is not subject to nor has any knowledge of potential or threatened actions, suits, proceedings, or claims affecting the Business or the Sale Assets. With respect to the Business and the Sale Assets, Seller has not been charged with, nor, to the knowledge of Seller, is being investigated with respect to, any Law, and no judgment order, writ, injunction, decree (including, without limitation, a consent decree), or other similar command of any court or Federal, state, municipal, or other governmental department, commission, board, bureau, agency, or instrumentality which is presently in effect has been entered against or served upon Seller which affects materially and adversely the Business and/or the Sale Assets.

Neither it nor any of its Affiliates has any claim, action, suit, complaint, charge, litigation, arbitration, prosecution, hearing or other proceeding of any nature, in Law or in equity, or other proceeding pending or threatened before or by any court or other Governmental Entity against the Company, any of its Subsidiaries or any of their respective Affiliates or any of their respective directors or employee, including, without limitation, pursuant to that certain Loan, Convertible Preferred Stock and Convertible Senior Secured Note Purchase Agreement between the Company and Xenith dated as of May 9, 2018, and, to its Knowledge, no event has occurred or circumstances exist that would reasonably be expected to give rise to, or serve as a basis for, any of the foregoing.

As of the Effective Date, there is no pending litigation or claim, nor to the best of Supplier's knowledge, the reasonable basis for any claim, against Supplier or its Affiliates with respect to the intellectual property to be used in the Products or any pending litigation or claim, or basis for any claim, that the exercise by Customer or the Customer Affiliates of any of the rights granted hereunder infringes any intellectual property of any third party.
No Litigation or Claims. Other than lawsuits brought against Seller in the ordinary course of business such as negligence claims or claims for damages arising due to allegedly faulty repairs or other actions of a repairman employed by the Seller which are either covered by insurance or for which Seller will bear any responsibility arising from the suit, there is no action, suit, arbitration, litigation, proceeding, or claim of any kind threatened or being prosecuted with respect to the Assets or the Business and, to the best of Seller's knowledge, there is no basis for such an action, suit, arbitration, litigation, proceeding, or claim other than the case involving Xxxxxx Xxxx which is described on Exhibit 3.5.
