MUTUAL AND FULL COOPERATION. 13.1 The Parties agree that they will fully cooperate with each other to accomplish the terms of this Agreement, including, but not limited to, execution of such documents and to take such other action as may reasonably be necessary to implement and effectuate the terms of this Agreement.

MUTUAL AND FULL COOPERATION. 1. The Parties agree to fully cooperate with each other in good faith to accomplish the terms of the Settlement Agreement, including, but not limited to, execution of such documents and taking such other action as may reasonably be necessary to implement the terms of the Settlement Agreement. The Parties shall use their best efforts, including reasonable efforts contemplated by the Settlement Agreement and any other reasonable efforts that may become necessary by order of the Court, or otherwise, to effectuate the Settlement Agreement and the terms set forth herein.

MUTUAL AND FULL COOPERATION. A. Generally. Plaintiffs’ Counsel and Defense Counsel agree to use their best efforts to fully cooperate with each other and to take all actions reasonably necessary to implement the terms of this Agreement and obtain approval of the settlement. No Party shall take any action to oppose implementation of this Agreement or any of its terms. Plaintiffs’ Counsel will recommend settlement to Named Plaintiffs and Opt-in Plaintiffs. Defense Counsel shall provide Plaintiffs’ Counsel with reasonable assistance necessary to draft all papers to be filed in conjunction with seeking approval of the settlement.
MUTUAL AND FULL COOPERATION. The Parties agree to cooperate fully with one another to accomplish and implement the terms of this Final Settlement Agreement. Such cooperation shall include, but not be limited to, execution of such other documents and the taking of such other actions as may reasonably be necessary to fulfill the terms of this Final Settlement Agreement. The Parties shall use their best efforts, including all efforts contemplated by this Final Settlement Agreement and any other efforts that may become necessary by court order, or otherwise, to effectuate this Final Settlement Agreement and the terms set forth herein. As soon as practicable after execution of this Final Settlement Agreement, Class Counsel, with the cooperation of JMS and Defense Counsel, shall take all necessary and reasonable steps to secure the Court’s preliminary and final approvals of this Final Settlement Agreement.

  • Legal cooperation 1. The Parties agree to develop judicial cooperation in civil and commercial matters as regards the negotiation, ratification and implementation of multilateral conventions on civil judicial cooperation and, in particular, the conventions of the Hague Conference on Private International Law in the field of international legal cooperation and litigation as well as the protection of children.

  • Mutual Cooperation In any contest of a tax or fee by one Party, the other Party shall cooperate fully by providing records, testimony and such additional information or assistance as may reasonably be necessary to pursue the contest. Further, the other Party shall be reimbursed for any reasonable and necessary out- of-pocket copying and travel expenses incurred in assisting in such contest.

  • Assistance and Cooperation After the Closing Date, each of Seller and Purchaser shall:

  • Labor cooperation The Parties shall enhance their communication and cooperation on labor, social security and environment issues through Memorandum of Understanding on Labor Cooperation between the Government of the People's Republic of China and the Government of the Republic of Peru.

  • Cooperation and Coordination The Parties acknowledge and agree that it is their mutual objective and intent to minimize, to the extent feasible and legal, taxes payable with respect to their collaborative efforts under this Agreement and that they shall use all commercially reasonable efforts to cooperate and coordinate with each other to achieve such objective.

  • Cultural cooperation 1. The aims of cultural cooperation will be: (a) to build on existing agreements or arrangements already in place for cultural cooperation; and (b) to promote information and cultural exchanges between the Parties. 2. The Parties will encourage and facilitate, as appropriate, the following activities, including, but not limited to: (a) dialogue on cultural policies and promotion of local culture; (b) exchange of cultural events and promote awareness of artistic works; (c) exchange of experience in conservation and restoration of national heritage; (d) exchange of experience on management for the arts; (e) protecting archaeological monuments and cultural heritage; (f) having a consultation mechanism between the Parties' culture authorities; and (g) cooperation in the audio-visual field, mainly coproduction and training programs in this sector and means of communication, including training, development and distribution activities.

  • Regional cooperation In order to make the most of this Agreement, the Parties shall xxxxxx all activities which have a regional impact or involve third countries, notably:

  • Customs Cooperation 1. The Parties shall develop customs cooperation to ensure that the provisions on trade are observed. For this purpose they shall establish a dialogue on customs matters.

  • Notice and Cooperation Each Party shall provide to the other Party prompt written notice of any actual or threatened infringement of the Product Trademarks in the Territory and of any actual or threatened claim that the use of the Product Trademarks in the Territory violates the rights of any Third Party. Each Party agrees to cooperate fully with the other Party with respect to any enforcement action or defense commenced pursuant to this Section 7.7.
