Mutual Cooperation. In any contest of a tax or fee by one Party, the other Party shall cooperate fully by providing records, testimony and such additional information or assistance as may reasonably be necessary to pursue the contest. Further, the other Party shall be reimbursed for any reasonable and necessary out- of-pocket copying and travel expenses incurred in assisting in such contest.

Mutual Cooperation. The parties agree to mutually cooperate in constructing the various improvements each is to construct in the Redevelopment Project Area so as to coordinate all timing to the extent reasonable, and further to facilitate opening of each facility at the earliest possible time.

The Assuming Institution shall prepare such instruments and documents of conveyance (in form and substance satisfactory to the Receiver) as shall be necessary to vest title to the Acquired Assets in the Assuming Institution. The Assuming Institution shall be responsible for preparing and recording such instruments and documents of conveyance at its own expense.
