Modification; Survival. This Agreement may be modified only by an instrument in writing signed by both parties hereto. The provisions of this Agreement shall survive the death, disability or incapacity of Indemnitee or the termination of Indemnitee’s service as a director or officer of the Company and shall inure to the benefit of Indemnitee’s heirs, executors and administrators.
Modification; Survival. This Agreement constitutes the entire agreement of the parties relating to the subject matter hereof and no amendment, modification, termination or cancellation of this Agreement shall be effective unless in writing signed by both parties hereto. The provisions of this Agreement shall survive the termination of Indemnitee's service as a director and/or officer of the Corporation with respect to actions, suits or proceedings brought or instituted in respect of any action taken or the failure to take any action occurring prior to such termination of service.

This Agreement contains the entire agreement of the parties relating to the subject matter hereof; provided, however, that this provision shall not be construed to affect the Company’s obligations to the Indemnitee under the Articles or the By-Laws. This Agreement may be modified only by an instrument in writing signed by both parties hereto. The provisions of this Agreement will survive the death, disability, or incapacity of the Indemnitee or the termination of the Indemnitee’s service as a director or an officer of the Company or in an Authorized Capacity of or for Another Entity and will inure to the benefit of the Indemnitee’s heirs, executors and administrators.
Modification; Survival. No subsequent modification of any of the terms of this Contract shall be valid, binding upon the parties, or enforceable unless made in writing and signed by the parties. Any obligation in this Contract that, by its terms, is intended to be performed after termination or closing shall survive the same.

This Agreement may be modified only by an instrument in writing signed by all parties hereto that refers to this Agreement. The provisions of this Agreement shall survive the death, disability, or incapacity of the Indemnitee or the termination of the Indemnitee's service as a director, officer, employee, or agent and shall inure to the benefit of the Indemnitee's heirs, executors and administrators.

This Agreement contains the entire agreement of the parties relating to the subject matter hereof and supersedes all prior indemnification agreements, whether oral or written, between the Company and the Indemnitee; PROVIDED, however, that this provision shall not be construed to affect the Company’s obligations to the Indemnitee under the Articles of Incorporation or Bylaws of the Company or under the GBCC. This Agreement may be modified only by an instrument in writing signed by both parties hereto. Modification; Survival. Any modification of the provisions of this Amendment shall require the prior written consent of Allstate. The provisions of this Amendment shall survive any acquisition by Allstate of the property of which the Premises are a part, including, but not limited to acquisition by judicial foreclosure, non-judicial foreclosure or deed-in-lieu of foreclosure. 5.
Modification; Survival. This Agreement contains the entire agreement and understanding of the parties relating to the subject matter hereof. This Agreement may be modified or amended only by an instrument in writing signed by both parties hereto. No amendment, alteration or repeal of this Agreement or of any provision hereof shall limit or restrict any right of the Indemnitee under this Agreement in respect of any action taken or omitted by the Indemnitee in the Indemnitee's Corporate Status prior to such amendment, alteration or repeal. The failure by either party to enforce any rights under this Agreement shall not be construed as a waiver of any rights of such party. This Agreement shall survive the death, disability, or incapacity of the Indemnitee or the termination of the Indemnitee's service as a director and officer of the Company and shall inure to the benefit of the Indemnitee's heirs, executors and administrators.
