Meetings of the SalesCo Board of Directors. Meetings of the SalesCo Board of Directors shall be called by the chairman of the SalesCo Board of Directors, and such meetings will be held at least once per month. A meeting of the SalesCo Board of Directors shall be validly convened when (i) the Members of the SalesCo Board of Directors are informed in writing of such meeting at least seven (7)Business Days in advance, unless a Member of the SalesCo Board of Directors who does not attend such meeting waives such right in writing in each specific case and (ii) it is called at the registered office of the SalesCo in Košice, unless all Members of the SalesCo Board of Directors waive such right in writing in each specific case. As long as all Members of the SalesCo Board of Directors agree in advance, a meeting of the SalesCo Board of Directors can be held also via (i) written consent, (ii) using facsimile or electronic mail or (iii) using appropriate telecommunication technology enabling long-distance voice connection or visual and voice connection in real time, to the extent permitted by legal regulations. The chairman of the SalesCo Board of Directors will be required to call a meeting of the SalesCo Board of Directors upon request of any Member of the SalesCo Board of Directors. Such meeting of the SalesCo Board of Directors shall take place no later than seven (7) Business Days after receipt of the request.
