Media Negotiations. Vendor will cultivate relationships with media representatives and work to secure top advertising spots, and negotiate prime marketing opportunities for DNC. BUDGET Professional Fees: $110,000 Estimated Media Expenses: $114,000* Total Project Fee: $110,000 Fee Billing. Vendor shall invoice DNC in accordance to the payment schedule set forth below. Fees are based on the Scope of Services above and not based on actual hours. As such, Vendor shall not be obligated to provide DNC with hourly billing detail. Expense Billing. Vendor shall invoice DNC the actual out-of-pocket placement expense amount(s) at the end of the month on an as incurred basis. Actual expenses may vary from any estimated amounts provided in the Budget section. Prepaid. Vendor will pre-bill Client a one-time amount of $5,000 to cover estimated media expenses. Any unused prepaid amount will be refunded or utilized at the Client’s discretion. Invoices. Vendor will render invoices to include professional services in one lump sum and expenses by category. Documentation for out-of-pocket expenses will be available upon request. Payment of the invoices will be due net thirty (30) days from receipt of an invoice.   • Informal Negotiations To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms of Use (each a "Dispute" and collectively, the “Disputes”) brought by either you or us (individually, a “Party” and collectively, the “Parties”), the Parties agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party.

  • Conducting Negotiations 5-2-1 The Association and the District agree that negotiations shall be guided by the following procedures, which may be modified at any time by mutual consent. 5-2-2 The parties agree to negotiate in good faith.
