MANAGEMENT REFERRALS. Persons whom management of the Company believe may be interested in purchasing Securities in the public offering will be referred only to Representative and management of the Company will purchase Securities in the public offering only through the Representative. The Representative will have complete control of the distribution of the Securities in the public offering.

MANAGEMENT REFERRALS. Employees who exhibit questionable behavior which does not improve despite counseling from the supervisor and/or Human Resources can be referred to the Employee Assistance Program (EAP) by management where drugs and alcohol appear to be a contributing factor. Such referrals can be made a condition of employment by Human Resources and the supervisor jointly. Employees who have been referred to EAP by management and are diagnosed as having an alcohol and/or drug abuse problem will be given a reasonable opportunity for rehabilitation. Once offered, such rehabilitation will be considered mandatory and failure to cooperate with the treatment plan as prescribed by the EAP provider, will result in immediate termination of employment.

  • Transfers and Seniority Outside Bargaining Unit No employee shall be transferred to a position outside the bargaining unit without the employee's consent. If an employee is transferred to a position outside of the bargaining unit, the employee shall retain seniority acquired at the date of leaving the unit, but will not accumulate any further seniority. If such an employee later returns to the bargaining unit, the employee shall be placed in a job consistent with the employee's seniority. Such return shall not result in the layoff or bumping of an employee holding greater seniority.

  • Traffic Management The Customer will not utilize the Services in a manner which, in the view of the Centre Operator, significantly distorts traffic balance on the Centre Operator’s circuits which are shared with other users. If, in the reasonable view of the Centre Operator, the Customer’s traffic patterns cause or may cause such distortion, the Customer should have a dedicated circuit capability. If the Customer declines to do so then the Centre Operator may suspend the Services while the matter is being resolved. If there is no resolution within 5 business days then either party may terminate the Agreement.

  • ACCESS TO OPERATIONS SUPPORT SYSTEMS 2.1 BellSouth shall provide Cellutell Communications, Inc. access to operations support systems (“OSS”) functions for pre-ordering, ordering and provisioning, maintenance and repair, and billing. BellSouth shall provide access to the OSS through manual and/or electronic interfaces as described in this Attachment. It is the sole responsibility of Cellutell Communications, Inc. to obtain the technical Version R4Q01: 12/01/01 capability to access and utilize BellSouth’s OSS interfaces. Specifications for Cellutell Communications, Inc.’s access and use of BellSouth’s electronic interfaces are set forth at xxx.xxxxxxxxxxxxxxx.xxxxxxxxx.xxx and are incorporated herein by reference.

  • Classroom Management The certificated classroom teacher demonstrates in his/her performance a competent level of knowledge and skill in organizing the physical and human elements in the educational setting.

  • Equipment Testing and Inspection 2.1.1 The Interconnection Customer shall test and inspect its Small Generating Facility and Interconnection Facilities prior to interconnection. The Interconnection Customer shall notify the NYISO and the Connecting Transmission Owner of such activities no fewer than five Business Days (or as may be agreed to by the Parties) prior to such testing and inspection. Testing and inspection shall occur on a Business Day. The Connecting Transmission Owner may, at its own expense, send qualified personnel to the Small Generating Facility site to inspect the interconnection and observe the testing. The Interconnection Customer shall provide the NYISO and Connecting Transmission Owner a written test report when such testing and inspection is completed. The Small Generating Facility may not commence parallel operations if the NYISO, in consultation with the Connecting Transmission Owner, finds that the Small Generating Facility has not been installed as agreed upon or may not be operated in a safe and reliable manner.

  • Management Reports Promptly upon receipt thereof, copies of all detailed financial and management reports submitted to the Company by independent auditors in connection with each annual or interim audit made by such auditors of the books of the Company.
