Labor Unrest. Seller is not a party to any labor agreement with respect to Employees of the Business with any labor organization, group or association and has not experienced any attempt by organized labor or its representatives to make Seller conform to demands of organized labor relating to its employees or to enter into a binding agreement with organized labor that would cover the employees of Seller. There is no unfair labor practice charge or complaint against Seller pending before the National Labor Relations Board or any other governmental agency arising out of Seller’s activities, and no Seller Party has any Knowledge of any facts or information that would give rise thereto; there is no labor strike or labor disturbance pending or threatened against Seller, nor is any grievance currently being asserted against it; and Seller has not experienced a work stoppage or other labor difficulty. There are no material controversies pending or, to their Knowledge, threatened between Seller and the employees of the Business, and no Seller Party is aware of any facts that could reasonably result in any such controversy.
Labor Unrest. In the event of, or threat of, labor unrest, including but not limited to strike, work stoppage or slowdown, sick-out, picketing or other concerted job action conducted by Hauler’s employees or directed at Hauler, Hauler must follow requirements of Section 5.4.F and is not excused from performance beyond seven (7) calendar days.

The Company and its Subsidiaries are in compliance with all U.S. federal, state, local and foreign laws and regulations relating to employment and employment practices, terms and conditions of employment and wages and hours, except where the failure to be in compliance could not, individually or in the aggregate, reasonably be expected to have a Material Adverse Effect.
