Handling of Materials; Wastes. PROTEON must notify LONZA of any hazardous conditions or Wastes known to PROTEON that may exist or be produced by LONZA in the course of performing the services contemplated by this Agreement. At PROTEON’s expense, LONZA or a designated Third Party contractor shall handle, label, package, store, transport and dispose of all Wastes generated through performance of the manufacturing and processing activities hereunder in material compliance with all Federal, state and local laws, rules, and regulations applicable to such handling, labeling, packaging, storage, transport and disposal. Each Party shall promptly notify the other of any health hazards or potential health hazards of confidential treatment * CONFIDENTIAL TREATMENT REQUESTED. OMITTED PORTIONS FILED WITH THE SECURITIES AND EXCHANGE COMMISSION PURSUANT TO RULE 406 PROMULGATED UNDER THE SECURITIES ACT OF 1933, AS AMENDED. which it is or becomes aware concerning exposure to or handling of the Raw Materials, Drug Substance or Wastes.
Handling of Materials; Wastes. WuXi Biologics shall inform its employees, contractors and other personnel of any known or reasonably ascertainable chemical hazards associated with the Products or any wastes (including, Hazardous Materials) generated through performance of the Manufacturing of the Products, and to provide such persons with reasonable training in the proper methods of handling and disposing of such items. In addition, WuXi Biologics shall handle, accumulate, label, package, ship and dispose of all wastes (including, Hazardous Materials) generated through performance of the Manufacturing of the Products in accordance with all Applicable Laws.

At NVDI’s expense, XOMA or a designated Third Party contractor shall handle, label, package, store, transport and dispose of all Wastes generated through performance of the manufacturing and processing activities hereunder in material compliance with all federal, state and local laws, rules, and regulations applicable to such handling, labeling, packaging, storage, transport and disposal. In addition, Provider shall handle, accumulate, label, package, ship and dispose of all wastes (including, Hazardous Materials) generated through performance of the Manufacturing of the 89bio Product in accordance with all Applicable Laws.

GENTA shall require its Subcontractors to inform their employees, contractors and other personnel of any known or reasonably ascertainable chemical hazards associated with the KEY RAW MATERIALS, OTHER MATERIALS, BULK DRUG PRODUCT or FINISHED PRODUCT, or any WASTES generated through performance of the PROCESSING ACTIVITIES, and to provide such persons with reasonable training in the proper methods of handling and disposing of such items. In addition, GENTA shall use COMMERCIALLY REASONABLE EFFORTS to ensure that its Subcontractors handle, accumulate, label, package, ship and dispose of all WASTES generated through performance of the PROCESSING ACTIVITIES in accordance with all applicable laws, rules, regulations and orders of any GOVERNMENTAL AUTHORITY.

The generation, collection, storage, handling, transportation, movement and release of Waste generated by or on behalf of CRL in connection with the manufacture of the Drug Product will be the responsibility of CRL, at the cost and expense of CRL. CRL shall inform its employees, contractors and other personnel of any known or reasonably ascertainable chemical hazards associated with the Drug Product or any Wastes generated through performance of the Manufacturing Activities, and to provide such persons with reasonable training in the proper methods of handling and disposing of such items. In addition, CRL shall handle, accumulate, label, package, ship and dispose of all Wastes generated through performance of the Manufacturing Activities in accordance with all applicable Laws. In connection herewith, Client shall provide CRL with data on the chemical and physical properties, toxicity and handling, storing and shipping information for the Drug Product, including Material Safety Data Sheets (MSDS) or equivalent, and agree to provide updates to CRL as new related information becomes available to Client.

In addition, Supplier shall handle, accumulate, label, package, ship and dispose of all Wastes generated through performance of the Manufacturing Activities in accordance with all applicable Laws.
