Governmental Consent or Approval. No consent, approval, permit, authorization or order of, or registration or filing with, any court or governmental agency, authority or other instrumentality not already obtained, given or made is required on the part of the Corporation for the execution, delivery and performance by the Corporation of any of the Transaction Documents.

No authorization, consent, approval, permit, license, or exemption of, or filing or registration with, any court or Governmental Authority that has not been obtained or issued is or will be necessary for the valid adoption, execution, delivery or performance by the City of the Related Documents to which it is a party and, in particular, this Agreement, the Fee Letter and the Notes.

If any governmental consent or approval is required in connection with the exercise of any of the Options, DeepTech shall have a reasonable amount of time to obtain such consent or approval. Tathxx Xxxshore shall use reasonable, good faith efforts to cooperate with DeepTech and to assist in timely obtaining such consent or approval.

To the best of Borrower’s actual current knowledge, after due inquiry, the execution (or adoption, if applicable), delivery and performance of this Agreement, the Note and the other Related Documents do not and will not require registration with, or the consent or approval of, or any other action by, any federal, state or other Governmental Authority or regulatory body other than those which have been made or given and are in full force and effect; provided that no representation is made as to any blue sky or securities law of any jurisdiction.
