No Consent or Approval. Except as expressly provided in this Agreement, no consent or approval is required by any other Entity in order for it to carry out the provisions of this Agreement.
No Consent or Approval. Except as expressly provided in this Agreement, the Plan, the SPA, or the Bankruptcy Code, no consent or approval is required by any other person or entity in order for it to effectuate the Restructuring contemplated by, and perform the respective obligations under, this Agreement.

Except as already obtained or filed, as the case may be, no consent or approval or other authorization of, or exemption by, or declaration or filing with, any Person and no waiver of any right by any Person is required to authorize or permit, or is otherwise required as a condition to the Guarantor's execution and delivery of this Guaranty or any of the other Lease Documents to which it is a party and the performance of its obligations thereunder, or as a condition to the validity (assuming the due authorization, execution and delivery by the Lessor of the Lease and the other Lease Documents to which it is a party) or enforceability of any of the same and/or the first priority of any Liens granted thereunder;

Except as expressly provided in this Agreement (including the exhibits hereto), any Alternative E-Side Plan Document, any Alternative E-Side Restructuring Document, or the Bankruptcy Code, no consent or approval is required by any other person or entity in order for it to effectuate the transactions contemplated by, and perform the respective obligations under, this Agreement.
No Consent or Approval. Neither the execution and delivery by the Shareholders, nor the consummation by the Shareholders of the transactions contemplated by this Agreement, requires the consent or approval of, or the giving of advance notice by any of the Shareholders to, or the registration by any Shareholder with, or the taking of any other action by any Shareholder in respect of, any federal, state or local governmental authority, and the execution, delivery and performance of this Agreement by the Shareholders will not result in the creation of any Encumbrance upon any of the shares of Company Common Stock owned by any Shareholder.
No Consent or Approval. Neither the execution and delivery by Seller of this Agreement, nor the consummation of the transactions contemplated by this Agreement, requires the consent, authorization or approval of, or the giving of notice by Seller to, or the registration by Seller with, or the taking of any other action by Seller in respect of, any federal, state or local governmental authority or any third party, except as contemplated by Article VI of this Agreement.
No Consent or Approval. No governmental, administrative or other third party consents or approvals are required by or with respect to Buyer in connection with the execution and delivery of this Agreement and the consummation of the transactions contemplated hereby.
