Governing Law Jurisdiction and Service. This Agreement is governed by, and all disputes arising under or in connection with this Agreement shall be resolved in accordance with, the laws of the State of New York, without regard to conflict of law principles thereof. Each Party irrevocably submits to the exclusive jurisdiction of (a) the Supreme Court of the State of New York, New York County, and (b) the United States District Court for the Southern District of New York, for the purposes of any suit, action, or other proceeding arising out of this Agreement or out of any transaction contemplated hereby and the appeals courts therefrom. Each Party agrees to commence any such action, suit, or proceeding either in the United States District Court for the Southern District of New York or if such suit, action, or other proceeding may not be brought in such court for jurisdictional reasons, in the Supreme Court of the State of New York, New York County. Each Party irrevocably and unconditionally waives any objection to the laying of venue of any action, suit, or proceeding arising out of this Agreement or the transactions contemplated hereby in (i) the Supreme Court of the State of New York, New York County or (ii) the United States District Court for the Southern District of New York, and hereby and thereby further irrevocably and unconditionally waives and agrees not to plead or claim in any such court that any such action, suit, or proceeding brought in any such court has been brought in an inconvenient forum. Each Party further agrees that service of any process, summons, notice or document by registered mail to its address set forth in Section 10.5 shall be effective service of process for any action, suit, or proceeding brought against it under this Agreement in any such court.
Governing Law Jurisdiction and Service. This Agreement shall take effect when entered into and accepted by Varitek in, and shall be deemed a contract formed in, Houston, Texas. Material and substantial performance of this Agreement will occur in Houston, Texas. This Agreement shall be governed by, and construed and enforced in accordance with, the substantive laws of the State of Texas without regard to its choice of law provisions, and in accordance with U.S. federal law, if applicable, as applied by adjudicative entities having jurisdiction that comprises Houston, Texas. The parties hereto irrevocably consent to the personal jurisdiction of and venue in the courts of the State of Texas located in Xxxxxx County, Texas, and of any federal courts located within Xxxxxx County, Texas, for purposes of all legal proceedings arising out of or relating to this Agreement, the License, and any of the transactions contemplated hereby. Each party hereby waives any right it may have to personal service of summons, complaint or other process in connection with any such action, and agrees that service may be made by registered or certified mail. The parties hereby agree that the United Nations Convention on Contracts for the International Sale of Goods shall not govern this Agreement or any of its provisions.
Governing Law Jurisdiction and Service. This Licence is governed by the law applicable in Victoria and each party irrevocably and unconditionally submits to the non-exclusive jurisdiction of the courts of Victoria.

This Agreement shall be governed by and construed in accordance with the laws of the [***], excluding any conflicts or choice of law rules or principles that might otherwise refer construction or interpretation of this Agreement to the substantive law of another jurisdiction. The Parties agree to exclude the application to this Agreement of the United Nations Convention on Contracts for the International Sale of Goods.
Governing Law Jurisdiction and Service. This Guaranty shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflicts of laws principles. Each of the Guarantor and the Vector Companies irrevocably submits to the non-exclusive jurisdiction of the courts of the State of Michigan in any action or proceeding arising out of or relating to this Guaranty and waives any objection to such jurisdiction on the grounds that it is an inconvenient forum or any similar grounds. The Guarantor consents to the service of process in any action or proceeding relating to this Guaranty by Notice to the Guarantor in accordance with the provisions of Section 15 hereof. Nothing in this Section 17 shall prevent either Vector Company from enforcing any judgment arising from this Guaranty against the Guarantor in any other jurisdiction.
