Governing law and litigation. 1. This Contract is executed in English and shall be governed by and construed in accordance with Italian law with the exclusion of all rules governing conflicts of laws.

The Italian Code of Civil Procedure will apply to the proceeding where the Rules of Conciliation and Arbitration of the International Chamber of Commerce are silent.

This Sublease is made in and shall in all respects be governed by, and construed and enforced in accordance with, the internal laws of the State in which the Subleased Premises is located without regard to conflicts of law principles.
