Good Faith Efforts when a DBE is Replaced on a Contract. The TJPA will require a contractor to make good faith efforts to replace a DBE that is terminated or has otherwise failed to complete its work on a contract with another certified DBE, to the extent needed to meet the contract goal. The prime contractor is required to notify the RE/Contract Manager immediately of a DBE’s inability or unwillingness to perform, and it must provide reasonable documentation. In this situation, the prime contractor will be required to obtain the TJPA’s prior approval of a substitute DBE and to provide copies of new or amended subcontracts, or documentation of good faith efforts. If the contractor fails or refuses to comply in the time specified, the TJPA’s contracting office will issue an order stopping all or part of the payment and/or work until satisfactory action has been taken. If the contractor still fails to comply, the contracting officer may issue a termination for default proceeding.

The City will require the prime contractor to notify the DBE Staff immediately of the DBE's inability or unwillingness to perform and provide reasonable documentation. In this situation, the City will require the prime contractor to obtain approval of the substitute DBE prior to beginning work and to provide copies of documentation of good faith efforts. If the contractor fails or refuses to comply in the time specified, our contracting office will issue notice of non- compliance to the contractor. Failure to comply with this article and/or to correct any deficiencies is considered a material breach and could subject contractor to any of the penalties listed in the City of San Antonio Ordinance No. 77758. Also, such failure may be considered a default for which City may terminate the agreement.

The Authority will require the prime contractor to obtain the Executive Director’s prior written approval to terminate the DBE or substitute the DBE. If the contractor fails or refuses to comply in the time specified, the Authority may issue an order stopping all or part of payment/work until satisfactory action has been taken. If the contractor still fails to comply contractor may be deemed in default under the contract.

In the event the Competitive Supplier is unable to deliver sufficient electricity to the grid to serve Participating Consumers, the Competitive Supplier shall utilize such arrangements as may be necessary to continue to serve Participating Consumers under the terms of this ESA, and shall bear any costs it may incur in carrying out these obligations. Competitive Supplier shall not be responsible to the Town or any Participating Consumers in the event the Local Distributor disconnects, curtails or reduces service to Participating Consumers (notwithstanding whether such disconnection is directed by the ISO- NE) in order to facilitate construction, installation, maintenance, repair, replacement or inspection of any of the Local Distributor’s facilities, to maintain the safety and reliability of the Local Distributor’s electrical system, or due to any other reason, including emergencies, forced outages, potential overloading of the Local Distributor’s transmission and/or distribution circuits, Force Majeure or the non-payment of any distribution service costs or other such costs due for services provided by the Local Distributor to a Participating Consumer.

  • Taxes and Fees Imposed on Purchasing Party But Collected And Remitted By Providing Party 11.3.1 Taxes and fees imposed on the purchasing Party shall be borne by the purchasing Party, even if the obligation to collect and/or remit such taxes or fees is placed on the providing Party.
