The Authority will Clause Examples for Any Agreement

The Authority will get the BID security verified from the issuing authority and after due verification, the Authority will evaluate the Technical BIDs for their compliance with the eligibility and qualification requirements pursuant to clauses 2.2.1 & 2.2.2 of this RFP.
The Authority will. 1.6.1 provide such assistance and information to the Supplier as it may reasonably request to facilitate a smooth and efficient handover of the Transferring Employees to the Supplier or any subcontractor, including the provision of all employee liability information identified in regulation 11 of TUPE in relation to the Transferring Employees; and 1.6.2 comply with its obligations to inform and, if necessary, consult with the appropriate representatives of any employees who are affected by the relevant transfer in accordance with regulation 13 of TUPE.
The Authority will. 16.2.1 notify the Supplier promptly in writing of any claim under clause 16.1 (IPR Indemnity) of which it is aware; 16.2.2 permit the Supplier, at the Supplier‟s expense, to conduct any litigation and negotiations for a settlement of the claim, giving the Supplier reasonable assistance at the Supplier‟s expense; and 16.2.3 not make any admission or take any other action which might be prejudicial without the express consent of the Supplier. The Authority will not unreasonably withhold such consent.
The Authority will. 4.2.1 Provide a Lead Officer who will support the Responsible Body on exclusion and alternative provision issues for the duration of this Agreement. 4.2.2 Ensure the Lead Officer is available to meet the Responsible Body on an annual basis and at any other point where a meeting is reasonably requested by the Responsible Body. 4.2.3 Provide appropriate levels of data at the annual meeting to evaluate the effectiveness of the provision. 4.2.4 Work in partnership with the Responsible Body to develop appropriate provision and ensure sufficient choice of AP in the area for the Responsible Body for schools to commission. 4.2.5 Ensure the arrangements set out in this Agreement comply with all relevant legislation and guidance and co-operate with the Responsible Body to vary arrangements where it is necessary or expedient to do so because of changes in legislation or guidance. 4.2.6 Ensure all permanently excluded pupils secure a suitable educational placement within statutory timelines (6th Day). All pupils permanently excluded from schools and Local Authorities outside of this agreement will remain the responsibility of the LA and appropriate funding allocated from top slicing the devolved High Needs Block funding allocated to the Alternative Provision proposal. 4.2.7 Secure suitable and appropriate education for a permanently excluded pupil where the Responsible Body has failed to do so within the statutory timelines and implement the Cost Recovery Mechanism to the Responsible Body, until the pupil is on roll at another school and their educational provision in place.
The Authority will need to insert a provision ensuring that any defined terms used in the Escrow Agreement which aren't defined in it take the meanings given to them in the ICT Services Agreement and that where any ambiguity or conflict arises, the ICT Services Agreement shall prevail.

The Authority will. (A) use reasonable endeavours to provide space for the CONTRACTOR’s staff to park their vehicles at the AUTHORITY’s Premises; and (B) permit the CONTRACTOR’s staff based at the AUTHORITY’s Premises to utilise the AUTHORITY’s infrastructure to access the CONTRACTOR’s infrastructure over the Internet in accordance with the security procedures set out in this Agreement for the purposes of enabling those staff to have access to the CONTRACTOR’s information.
The Authority will. 9.4.1. save in respect of the rights to use and receive the Service and associated support granted by Xxxxx under this Agreement, obtain all necessary consents, licences and permissions which are reasonably necessary in order for the Authority to use and receive the Service and associated support; and 9.4.2. where the Authority provides materials or data to Xxxxx, provide written permission from all relevant third party Intellectual Property Rights holders that they consent to Verna receiving such materials; and 9.4.3. indemnify Verna against all damages, losses, costs and expenses (including without limitation reasonable legal fees) resulting from any claim that Verna’s use of materials or data (or part thereof) provided by the Authority infringes the Intellectual Property Rights of a third party.
