Formation and Operation of the Policy Board. The parties shall establish a Policy Board which shall be responsible for developing management and administrative policies for the overall operation of any Practice Office. The Policy Board shall consist of six (6) members. Company shall designate, in its sole discretion, three (3) members of the Policy Board. VERO II shall designate, in VERO II's sole discretion, three (3) members of the Policy Board. Any matter decided by a majority of the members of the Policy Board shall constitute the decision of the Policy Board with respect to the matter.

Practice hereby acknowledges that it is one of a group of ophthalmology practices located in the St. Louis metropolitan area which is affiliated with Business Manager (Practice and such other practices shall be collectively referred to herein as "Regional Practices"). The Regional Practices and Business Manager shall establish a Policy Board which shall be responsible for overseeing the overall operations of the nonmedical aspects of each Regional Practice's facilities and, subject to Section 3.3 hereof, certain medical issues. The Policy Board shall consist of four (4) members, with each of the Business Manager and Regional Practices designating two (2) members. Each member of the Policy Board shall serve a one-year term. The Policy Board members designated by the Regional Practices shall be Physician-Shareholders of a Regional Practice. Except as otherwise expressly provided herein, the act of a majority of the members of the Policy Board shall be the act of the Policy Board.

The Policy Board members designated by the Regional Practices shall be Physician-Shareholders of a Regional Practice and one such member shall always be a designee of Practice. The Policy Board shall consist of four (4) members. Business Manager shall designate, in its sole discretion, three (3) members of the Policy Board. PA shall designate, in its sole discretion, one (1) member of the Policy Board. The Policy Board member selected by PA shall be a Dentist who holds and maintains a valid and unrestricted license to practice dentistry in the State. A majority of each party's representative or representatives to the Policy Board shall have the authority to make decisions within the terms of this Management Services Agreement on behalf of the respective party. Except as may otherwise be provided, the act of a majority of the members of the Policy Board shall be the act of the Policy Board.

The Policy Board shall consist of five (5) members. Business Manager shall designate, in its sole discretion, three (3) members of the Policy Board, and Medical Group shall designate, in its sole discretion, two (2) members of the Policy Board. Each party's representatives to the Policy Board shall have the authority to make decisions on behalf of the respective party. Except as may otherwise be provided, the act of a majority of the members of the Policy Board shall be the act of the Policy Board. The Medical Group shall designate the Executive Director as a member of the Policy Board.

The Policy Board shall consist of ten (10) members to be comprised of the persons described in Exhibit 4.1 attached hereto. The act of a majority of the members of the Policy Board shall be the act of the Policy Board. Manager expressly recognizes that Manager is being engaged by RHS and the Clinic pursuant to this Agreement to provide services on behalf of the Clinic in a manner consistent with the mission of RHS and the Clinic and in a manner consistent with the determinations of the Policy Board and the budgets recommended by the Policy Board and approved by RHS.

Except as may otherwise be provided, the number of total votes the members shall be authorized to cast shall be equal as between Business Manager and New PA and a majority vote of the members of the Policy Board shall be the act of the Policy Board.
