Exporter of Record. CLIENT shall be the exporter of record for any Product shipped out of the United States, as CLIENT remains the owner of the Product. CLIENT warrants that all shipments of Product exported from the United States will be made in compliance with all applicable United States export laws and regulations and all applicable import laws and regulations into the country of deportation. CLIENT shall be responsible for obtaining and paying for any licenses or other governmental authorization(s) necessary for the exportation from the United States. CLIENT shall select and pay the freight forwarder who shall solely be CLIENT’s agent. CLIENT and its freight forwarder shall be solely responsible for preparing and filing the Shipper’s Export Declaration and any other documentation required for the export.

CLIENT shall bear all costs and expenses associated with this Section 12.15.

Exporter of Record. If Reseller chooses to use a freight forwarder or agent, other than a 3Com preferred freight forwarder to export Technical Data from the United States, Reseller or its properly authorized agent or forwarder must hold a properly executed power of attorney to prepare and sign Shipper's Export Declarations as exporter of record from the United States.

CLIENT shall be responsible for obtaining and paying for any licenses or other governmental authorization(s) necessary for the exportation from the United States. CLIENT shall select and pay the freight forwarder who shall solely be CLIENT’s agent. CLIENT and its freight forwarder shall be solely responsible for preparing and filing the Shipper’s Export Declaration and any other documentation required for the export.
Exporter of Record. Dyax shall be the exporter of record for any Product shipped out of the United States. Dyax warrants that all shipments of Product exported from the United States will be made in compliance with all export laws and regulations and all applicable import laws and regulations of the country of importation. Dyax shall be responsible for obtaining any licenses or government authorization(s) necessary for exportation from the United States, and for ensuring that all domestic and international shipments are made in accordance with all applicable laws and regulations, including but not limited to Department of Transportation and Department of Homeland Security regulations related to transportation of biological agents. Dyax’s designated carrier and freight forwarder shall solely be Dyax’s agent. Dyax shall select and pay the freight forwarder and such designated freight forwarder shall solely be responsible for preparing and filing any relevant declarations or other documents required for the export. Dyax shall bear all costs and expenses associated with this Section 12.15 (“Exporter of Record”).
Exporter of Record. Synthorx remains the owner of the Synthorx Product and shall be the exporter of record for any Synthorx Product shipped out of the United States. Synthorx warrants that all shipments of Synthorx Product exported from the United States will be made in compliance with all applicable United States export laws and regulations and all applicable import laws and regulations into the country of deportation. Synthorx shall be responsible for obtaining […***…] any licenses, clearances, or other governmental authorization(s) necessary for the exportation from the United States. Synthorx shall select […***…] the freight forwarder, who will solely be Synthorx’s agent. Synthorx and its freight forwarder shall be solely responsible for preparing and filing the shipper’s export declaration and any other documentation required for the export. In connection with each delivery of Synthorx Product, Provider will deliver to Synthorx all certificates of analysis, certificates of conformity, and such other documentation as is required to meet all requirements under applicable law with respect to such Synthorx Product.
Exporter of Record. If the goods covered by this order are to be exported from the United States of America, Seller shall not, for purposes of this agreement, be the “exporter of record” as that term is used by U.S. Customs and/or the Bureau of Industry and Security (“BIS”) and Buyer shall comply with all regulations (including, but not limited to, those related to reporting, filing and record keeping) of U.S. Customs and/or the BIS. In the event Buyer exports any goods, Buyer shall indemnify and hold harmless Seller from any and all costs arising from any and all anti-dumping claims or investigations resulting from export of goods.
