Existence; Subsidiaries. The Borrower is a corporation duly organized, validly existing and in good standing under the laws of Texas and in good standing and qualified to do business in each other jurisdiction where its ownership or lease of Property or conduct of its business requires such qualification except where the failure to be so qualified could not, individually or in the aggregate, reasonably be expected to cause a Material Adverse Change. Each Subsidiary of the Borrower is duly organized, validly existing, and in good standing under the laws of its jurisdiction of formation and in good standing and qualified to do business in each jurisdiction where its ownership or lease of Property or conduct of its business requires such qualification except where the failure to be so qualified could not, individually or in the aggregate, reasonably be expected to cause a Material Adverse Change. As of the date hereof, the Borrower has no Subsidiaries other than those identified in Schedule 4.01.

Existence; Subsidiaries. Each of the Loan Parties is (a) duly formed, validly existing, and in good standing under the laws of the jurisdiction of its formation, (b) duly qualified as a foreign entity and is licensed and in good standing in each jurisdiction where its ownership, lease or operation of Property or conduct of its business requires such qualification or license other than such failures to so qualify that could not, individually or in the aggregate reasonably be expected to have a Material Adverse Effect. Each of the Loan Parties is licensed and in good standing to supply natural gas or electricity or related products by each of the state public utility commissions identified on Schedule 4.01, as the same may be updated from time to time.

As of the date hereof, the Borrower has no Subsidiaries other than those identified in Schedule 4.01 and Holdings has no Subsidiaries other than the Borrower and the Subsidiaries of the Borrower.

As of the date of this Agreement, such Borrower does not have any Subsidiary other than listed on Schedule 4.01 and such Borrower does not own any Equity Interests in any Person except in such Subsidiaries and otherwise as set forth in Schedule 4.01.
