Guarantor Subsidiary. If Lenders determine in their sole discretion that, if liquidated, the value of the Collateral would not be sufficient to repay the Obligations in full, Borrower shall, at Borrower’s expense and within twenty (20) days of Lenders’ request, either (a) execute and deliver, or cause any Subsidiary or Subsidiaries of Borrower to execute and deliver, as directed by Lenders, a Stock Pledge, Guaranty and such other documentation in form and substance satisfactory to Lenders as Lenders may request, including without limitation, original stock certificates, an opinion of foreign counsel, together with such additional documents as Lenders may require to perfect a first priority lien on the assets described in the Stock Pledge and Guaranty, or (b) post a letter of credit or other credit enhancement from a source satisfactory to the Lenders and which Lenders deem adequate in their sole discretion to eliminate any potential shortfall from the liquidation of the Collateral. Notwithstanding the foregoing, neither Borrower nor any Domestic Subsidiary of Borrower shall be required to pledge more than sixty five percent (65%) of the outstanding voting stock of any Foreign Subsidiary.

Guarantor Subsidiary. The definition of "Guarantor Subsidiary " is hereby added to read as follows:
Guarantor Subsidiary. The Borrower shall deliver not less than five (5) Domestic Business Days' notice prior to the creation of any Guarantor Subsidiary or prior to the date on which an existing Subsidiary shall become a Guarantor Subsidiary, and within ten (10) Domestic Business Days thereafter, shall cause any such Subsidiary to execute and deliver to the Administra tive Agent, for the benefit of the Banks, a Guaranty.
Guarantor Subsidiary. The Borrower shall send the Lender a copy of each credit memorandum in excess of $100,000 as soon as issued. The Lender may, at all times when an Event of Default exists hereunder, settle or adjust disputes and claims directly with Account Debtors for amounts and upon terms which the Lender considers advisable and, in all cases, the Lender will credit the Borrower's loan account with only the net amounts received by the Lender in payment of any Accounts.

The Trustee shall deliver an appropriate instrument evidencing such release upon receipt of a request by the Company accompanied by an Officers’ Certificate and, in the case of the release of a Subsidiary Guarantor pursuant to clause (i) of the first sentence of this Section 10.04, an Opinion of Counsel certifying that such sale or other disposition was made by the Company in accordance with the provisions of this Indenture. Any Subsidiary Guarantor not so released remains liable for the full amount of principal of and interest on the Securities as provided in this Article Ten.

To effectuate the foregoing intention, the Trustee, the Holders and the Subsidiary Guarantors hereby irrevocably agree that the obligations of such Subsidiary Guarantor will, after giving effect to such maximum amount and all other contingent and fixed liabilities of such Subsidiary Guarantor that are relevant under such laws, and after giving effect to any collections from, rights to receive contribution from or payments made by or on behalf of any other Subsidiary Guarantor in respect of the obligations of such other Subsidiary Guarantor under this Article Ten, result in the obligations of such Subsidiary Guarantor under its Subsidiary Guarantee not constituting a fraudulent transfer or conveyance. Each Subsidiary Guarantor that makes a payment for distribution under its Subsidiary Guarantee is entitled to a contribution from each other Subsidiary Guarantor in a pro rata amount based on the adjusted net assets of each Subsidiary Guarantor.

  • Foreign Subsidiaries Subject to the following sentence, in the event that, at any time, Foreign Subsidiaries have, in the aggregate, (i) total revenues constituting 5% or more of the total revenues of Borrower and its Subsidiaries on a consolidated basis, or (ii) total assets constituting 5% or more of the total assets of Borrower and its Subsidiaries on a consolidated basis, promptly (and, in any event, within 30 days after such time) the Borrower shall cause one or more of such Foreign Subsidiaries to become Subsidiary Guarantors and to have their Equity Interests pledged, each in the manner set forth in Section 8.12(a), such that, after such Subsidiaries become Subsidiary Guarantors, the non-guarantor Foreign Subsidiaries in the aggregate shall cease to have revenues or assets, as applicable, that meet the thresholds set forth in clauses (i) and (ii) above. Notwithstanding the foregoing, no Foreign Subsidiary shall be required to become a Subsidiary Guarantor, xxxxx x xxxx on any of its assets in favor of the Lenders, or shall have its Equity Interests pledged to secure the Obligations, to the extent that becoming a Subsidiary Guarantor, granting a lien on any of its assets in favor of the Lenders or providing such pledge would result in adverse tax consequences for Borrower and its Subsidiaries, taken as a whole; provided that, if a Foreign Subsidiary is precluded from becoming a Subsidiary Guarantor or having all of its Equity Interests pledged as a result of such adverse tax consequences, to the extent that such Foreign Subsidiary is a “first tier” Foreign Subsidiary, Borrower shall pledge (or cause to be pledged) 65% of the total number of the Equity Interests of such Foreign Subsidiary to the Lenders to secure the Obligations.

  • Subsidiary Guarantor The Guaranteeing Subsidiary hereby agrees to be a Subsidiary Guarantor under the Indenture and to be bound by the terms of the Indenture applicable to Subsidiary Guarantors, including Article 10 thereof.
