Entire Agreements and Amendments. 10.1 This Agreement and all agreements and/or documents referred to or expressly included herein represent all agreements among the Parties regarding the subject matter hereof, and supersede all previous agreements, contracts, understandings and communications among all the Parties, oral or written, with respect to the subject matters of this Agreement.
Entire Agreements and Amendments. 18 This agreement constitutes the entire agreement and understanding between the parties concerning the subject matter hereof and supersedes all prior agreements, both oral and written, representations, statements, negotiations and undertakings.

In the event of any conflict, ambiguity, inconsistency, or outright differences between the parties' rights under the Merger Documentation, the agreement that addresses the matter with the greatest specificity shall control.
Entire Agreements and Amendments. The parties acknowledge that they will enter into a separate Contract for Services for each COMPLETE LED’s customer that Contractor’s personnel will work with pursuant to this Agreement. This Agreement, all customer Contract for Services, which shall be deemed exhibits hereto, and the Contractor’s employees’ Restrictive Covenant Agreements contain the entire agreement and understanding of the parties with respect to the entire subject matter hereof, and any and all prior and concurrent discussions, negotiations, commitme nts, understandings and agreements relating thereto are superseded hereby. Any special provisions mutually agreed to by the parties attached to this Agreement are incorporated into this Agreement as though set forth at length herein, and in the event of any conflict between such, then the special provision will prevail. This Agreement may not be modified or amended except by a writing signed by the parties hereto. Nothing herein shall be deemed to preclude COMPLETE LED from retaining the services of other persons or entities undertaking the same or similar services as those undertaken by Contractor or from independently developing or acquiring materials or programs that are similar to or competitive with the services provided under this Agreement.

This Agreement constitutes the entire Agreement between the parties with respect to the subject matter hereof, and any prior agreements, promises, negotiations or representations relating to the subject matter are of no force or effect. Except as otherwise provided by federal or state law, any paragraph or provision of this Agreement may be amended only by mutual written consent of the parties. This Agreement is made for the sole benefit of Ferrum College and New River Community College. Nothing in this Agreement shall create or be deemed to create a relationship between the parties, or either of them, and any third parties, including a relationship in the nature of a third party beneficiary.
Entire Agreements and Amendments. 27.1. The Agreement will constitute the entire agreement between the parties concerning the subject matter of these Conditions. It will supersede all prior and contemporaneous agreements, communications and representations (except for fraudulent or negligent misrepresentations) whether oral or written, between the parties relating to the subject matter of this Agreement, and all past courses of dealing or industry custom. The Agreement will prevail over any other conflicting written instrument or other notice the Customer may submit to MAM.

This Agreement, together with all Schedules hereto and the Pharmacovigilance Agreement, represents the full and complete understanding and agreement of the parties pertaining to the subject matter hereof and prevails over all statements, clauses or conditions which may be contained in any other form or document. There are no covenants, promises, agreements, warranties, representations, conditions or understandings, either oral or written, between the parties other than as are set forth herein and therein. No modifications and amendments to this Agreement shall be valid unless made in writing and signed by duly authorised representatives of both parties. In case of discrepancies between this Agreement and any Schedule, the provisions of this Agreement shall prevail.
