Entire Agreement; Amendments; Headings. A. This agreement supersedes all previous agreements relating to the subject of this agreement and constitutes the entire understanding of the parties hereto. Placing County shall be entitled to no other benefits other than those specified herein. Placing County specifically acknowledges that in entering into and executing this agreement, Placing County relies solely upon the provisions contained in this agreement and no others.

This Agreement, including the exhibits hereto, constitutes the entire understanding of the parties with respect to the subject matter hereof and supersedes any prior oral or written agreements or understandings of the parties. This Agreement may not be modified or amended except in writing duly executed by the parties hereto. This Agreement constitutes the entire understanding and agreement between the parties and supersedes all previous understandings, agreements, communications, and representations, whether written or oral, concerning the subject matters to which this Agreement relates. The Participant hereby agrees to the terms, conditions and stipulations of this Agreement on behalf of Participant’s person and/or organization or business. No modification, amendment, or waiver of any provision of this Agreement shall be effective unless the same shall be in writing and signed by each of the parties hereto. Section headings in this Agreement are for convenience of reference only, and do not define, limit, or fully describe the scope or intent of the provisions of this Agreement.

This Agreement, the Deposit Agreements (provided that in the event of any conflict between the terms of the Deposit Agreements and this Agreement, the terms of this Agreement shall control), and the instructions and notices required or permitted to be executed and delivered hereunder set forth the entire agreement of the parties with respect to the subject matter hereof. This Agreement may be amended only with the prior written consent of all parties hereto. None of the terms of this Agreement may be waived except as Bank may consent thereto in writing. No delay on the part of Bank in exercising any right, power, or privilege hereunder shall operate as a waiver hereof, nor shall any single or partial exercise of any right, power, or privilege hereunder preclude other or further exercise thereof or the exercise of any right, power, or privilege. The rights and remedies specified herein are cumulative and are not exclusive of any rights or remedies which Bank would otherwise have. All headings in this Agreement are included herein for convenience of reference only and are not to be construed as defining or limiting, in any way, the scope or intent of the provisions of this Agreement.
Entire Agreement; Amendments; Headings. 12.1 This agreement together with its appendices constitutes the entire agreement between the parties REGARDING LICENSING OF TECHNOLOGY, and SUPERSEDES any prior communications ON THE SUBJECT whether written or oral.

This Agreement, including the Service Order Form and Schedule(s) hereto, constitutes the entire agreement between the Parties pertaining to the subject matter hereof and supersedes all prior or contemporaneous, written or parties respecting the subject matter of this Agreement. This Agreement (including the executed form of general release and waiver of claims attached as Exhibit A) contains the entire understanding of the parties with respect to the subject matter contained herein, and during the Term supersedes all prior agreements, promises, warranties, covenants or undertakings between the parties with respect to the subject matter herein, including, without limitation, that certain Change of Control Severance Agreement dated May 10, 2007, which shall have no further force or effect as of the date of this Agreement; provided that this Agreement shall not limit or supersede any vested retirement benefits or the right or obligations of the parties under the stock option agreement(s) and management stockholder’s agreement(s) signed by Executive and the Company. This Agreement may not be altered, modified, or amended except by written instrument signed by the parties hereto. Headings to sections are inserted for convenience of reference only and are not intended to be a part of or to affect the meaning or interpretation hereof.

The parties expressly understand and agree that this Agreement sets forth all promises, agreements, conditions and understandings between Old Long Beach and the Company with respect to the subject matter hereof. This Agreement shall not be modified or amended in any manner, except by an instrument in writing executed by Old Long Beach and the Company. The headings are for information only, are not part of this Agreement, and are not to be considered in the construction thereof.

This Agreement embodies the entire Agreement of Information Resources and the Employee with respect to the subject matter hereof, and replaces and supersedes any prior understandings, whether written or oral, regarding such subject matter.
