Encumbrances Created by this Agreement. The execution and delivery of this Agreement, or any of the Company's Transaction Documents, does not, and the consummation of the transactions contemplated hereby or thereby will not, create any liens or other encumbrances on any of the Company's assets in favor of third parties.

The execution, delivery, and performance of this Agreement and the other agreements and instruments to be executed, delivered, and performed pursuant hereto and the consummation of the transaction contemplated herein and thereby will not result in any breach of or constitute a material default (or would not constitute a default but for the requirement that notice be given or time pass or both) under, and will not accelerate or permit the acceleration of the performance required by, any of the terms or provisions of the Articles of Incorporation or By-laws of Buyer or any material contract, agreement, indenture, instrument, or commitment to which Buyer is a party or by which Buyer is bound or affected.
Encumbrances Created by this Agreement. Neither the execution and delivery of this Agreement nor the execution and delivery of any of the Transaction Documents by the Company, Medi-Serve or the Shareholder creates, and the consummation of the transactions contemplated hereby or thereby will not create, any Liens on any of the Assets in favor of third parties.
Encumbrances Created by this Agreement. Execution and delivery of this Agreement, or any of Rotech's Transaction Documents, does not, and the consummation of the transactions contemplated hereby or thereby will not, create any liens or other encumbrances on any assets of Rotech or any of the Rotech Subsidiaries in favor of third parties.
Encumbrances Created by this Agreement. Neither the execution and delivery of this Lease or the performance of any of the transaction documents contemplated hereby, nor the consummation of the transactions contemplated hereby or thereby, will create any Lien on any of the Leased Equipment or Other Assets in favor of any Person.

The execution and delivery of this Agreement, or any of Arcadia's Transaction Documents, does not, and the consummation of the transactions contemplated hereby or thereby will not, create any liens or other encumbrances on any of Arcadia's assets in favor of third parties.
