EMPLOYMENT: ENDING DATE AND RESPONSIBILITIES. The Company and Employee acknowledge and agree that Employee’s employment with the Company and its affiliates will terminate effective June 14, 2004; provided however that Employee will be available to assist the Acting CEO or Chairman as appropriate at mutually agreeable times following the Transition Period. Employee understands and agrees that this termination is effective with respect to all positions he holds with the Company and any of its affiliates.

EMPLOYMENT: ENDING DATE AND RESPONSIBILITIES. Executive’s employment with Xxxx ended on March 1, 2023. The Employment Agreement between Tego and Executive dated January 3, 2022 is of no further force or effect and deemed terminated. Other than those duties relating to Executive’s responsibilities as a member of Xxxx’s Board of Directors, Executive has no further employment duties to Tego, and in that regard Executive acknowledges that Xxxx does not owe him any compensation, including in the way of bonus compensation or otherwise, except as defined in this Agreement.
EMPLOYMENT: ENDING DATE AND RESPONSIBILITIES. Executive’s employment with Employer will end on the Termination Date. Through the Termination Date, Executive shall assist, as reasonably required, in transition to Employer’s new Chief Financial Officer. After the Termination Date, Executive will have no further employment duties to Employer.

  • Employment Duties and Responsibilities A) The Company shall employ the Executive, and the Executive shall serve the Company, as President and Chief Executive Officer, with such duties and responsibilities as may be assigned to the Executive by the Board of Directors of the Company (“BOD”) and are typically associated with a position of that nature.

  • Role and Responsibilities During the Employment Period, the Executive shall serve as President and Chief Executive Officer of the Company, and shall perform such employment duties as are usual and customary for such position. The Executive shall report directly to the Board of Directors of the Company (the “Board”). At the Company’s request, the Executive shall serve the Company and/or its subsidiaries and affiliates in other capacities in addition to the foregoing, consistent with the Executive’s position hereunder.   • Roles and Responsibilities 1. The Donor States shall make funds available in support of eligible programmes proposed by the Beneficiary State and agreed on by the Financial Mechanism Committee within the priority sectors listed in Article 3.1 of Protocol 38c and the programme areas listed in the Annex to Protocol 38c. The Donor States and the Beneficiary State shall cooperate on the preparation of concept notes defining the scope and planned results for each programme.

  • Duties and Responsibilities of Executive During the Employment Period, Executive shall devote his full working time to (a) the business of the Company and its Affiliates and (b) performance of the duties and responsibilities assigned to Executive to the best of Executive’s ability and with reasonable diligence.   • EMPLOYEE RIGHTS AND RESPONSIBILITIES 1. In addition to others identified herein, employees affected by these procedures shall have the following rights:

Employee’s duties shall include those normally incidental to the position(s) identified in Section 1, as well as such additional duties as may be assigned to Employee by the Board or the Chief Executive Officer from time to time, which duties may include providing services to other members of the Company Group in addition to the Company. Employee may, without violating this Section 2(a), (i) as a passive investment, own publicly traded securities in such form or manner as will not require the performance of any services by Employee in the operation of the entities in which such securities are owned; (ii) engage in charitable and civic activities; or (iii) with the prior written consent of the Board, engage in other personal and passive investment activities, in each case, so long as such interests or activities do not interfere with Employee’s ability to fulfill Employee’s duties and responsibilities under this Agreement and are not inconsistent with Employee’s obligations to the Company Group or competitive with the business of the Company Group.

  • Certain Duties and Responsibilities (a) Except during the continuance of an Event of Default,

  • Employer Responsibilities Recognizing the inherent risk(s) in a correctional setting, the Employer is obligated to provide a safe workplace and to educate employees on proper safety procedures and use of protective and safety equipment. The Employer is committed to responding to legitimate safety concerns raised by the Union and employees. The Employer will comply with federal and state safety standards, including requirements relating to first aid training, first aid equipment and the use of protective devices and equipment.

  • Position, Duties and Responsibilities During the Term of Employment, Executive shall be employed and serve as the Chief Executive Officer of the Company, reporting directly to the Board, and having such duties and responsibilities commensurate with such position. Executive also agrees to serve as an officer and/or director of any member of the Company Group, in each case, without additional compensation, and, without limiting the foregoing, will serve as a member of the Board at all times Executive serves as the Company’s Chief Executive Officer.
